Tax Director - Private Equity (Boston)

Our client is a Boston-based middle-market private equity firm managing over $4B in assets across healthcare, technology, and business services sectors. The firm has historically relied on outside counsel and public accounting firms for tax support and is now building an internal tax function to improve speed, reduce cost, and drive value at the portfolio company level.

As Tax Director you will own all fund-level partnership tax compliance including K-1 preparation oversight, management fee and carried interest structuring analysis, and blocker and UBTI management for tax-exempt and foreign investors. At the portfolio level you will advise on acquisition structuring, purchase price allocations, 338(h)(10) and 336(e) elections, and exit planning.

This is a high-impact founding role within the tax function. You will work directly with the CFO and General Counsel of the fund and have regular interaction with portfolio company CEOs and CFOs. Competitive carried interest participation is available.

Requirements

• CPA and/or JD required; LLM in Taxation strongly preferred
• 12+ years of tax experience including substantial exposure to private equity fund structures and portfolio company transactions
• Deep technical knowledge of partnership taxation, IRC Sections 704, 743, 754, 1061, and UBTI rules
• Prior experience in a Big 4 or large law firm tax group serving PE fund clients strongly preferred
• Strong executive communication skills and comfort working in a fast-paced deal environment
