Job Overview A law firm seeks an experienced Of Counsel to join its Los Angeles, CA office. The role involves practicing in public company reporting and compliance, corporate governance, and capital markets, working closely with public companies. This position offers the opportunity to join a dynamic securities practice within a leading firm. Duties Conduct thorough legal research and analysis to support transactions. Draft legal documents, including memos and contracts. Assist in managing complex transactions from inception to resolution. Build and maintain strong client relationships. Collaborate with colleagues to develop transaction strategies. Participate in high-level legal activities, including client meetings. Ensure compliance with legal standards and regulations. Engage in professional development opportunities. Contribute to firm programs and community involvement. Requirements Minimum 8 years of experience in public company and capital markets. Experience with ongoing periodic reporting for public companies. Strong knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934. Experience with Nasdaq and NYSE listing and governance requirements. Experience working with issuers, underwriters, and financial intermediaries. AmLaw 100 law firm experience preferred. Education JD degree from an accredited law school. Certifications Admitted to practice in the state of California. Skills Excellent written and verbal communication abilities. Strong research, analytical, and problem-solving skills. Attention to detail and good business judgment. Excellent organizational skills and ability to work independently.
