Senior Capital Markets Associate Attorney – San Diego

Direct Counsel is seeking a Senior Capital Markets Associate to join a highly respected Am Law firm in San Diego. This is an outstanding opportunity for a senior corporate associate to join a dynamic and growing securities and capital markets practice representing innovative public companies, issuers, and underwriters across the life sciences, technology, and digital asset sectors.

The ideal candidate will have at least 5 years of experience advising public companies on securities law compliance, corporate governance, and capital markets transactions. Candidates should have substantial experience working directly with public company clients on periodic reporting obligations, governance matters, and securities offerings.

Qualified candidates will possess:

• 5+ years of capital markets and public company advisory experience
• Experience representing large-cap and mid-cap public companies
• Significant experience with SEC reporting obligations, including periodic reports, proxy statements, and Section 13 and Section 16 filings
• Strong knowledge of the Securities Act of 1933, Securities Exchange Act of 1934, and Nasdaq and NYSE governance and listing requirements
• Experience handling capital markets transactions and securities offerings
• Excellent drafting, analytical, communication, and organizational skills
• Strong business judgment and the ability to work both independently and collaboratively
• Admission to practice in California
• Prior Am Law 100 experience preferred

Compensation is highly competitive, with an anticipated salary range of approximately $365,000–$435,000, depending on experience, qualifications, and other relevant factors.
