What You’ll Do SourceAmerica is seeking Senior Contract Specialist to join the Legal team. This role provides full contract life cycle support of Prime and subcontract vehicles such as solicitation review and analysis, drafting contract terms and assumptions, negotiation support, and risk evaluation and mitigation, and post-award contract management, including contract administration, document management, contract interpretation, advising on compliance requirements, and drafting and negotiating amendments. Partners closely with other departments to help ensure Prime and subcontract compliance. Establishes and maintains good working relationships with key stakeholders and internal and external clients. Works with and supports Contract Management team in developing, negotiating, and processing new appropriate opportunities through the pre-award, award, and post-award phases of a contract. Handles complex proposals and quotes that will require integrating submissions from subcontractors and other potential vendors. Facilitates the effective implementation of contract responsibilities within program objectives and requirements. Reviews and resolves all issues affecting Prime and subcontract company compliance and ensures the satisfaction of contractual requirements, company, and customer objectives. Advises management of contractual rights and obligations and provides an interpretation of terms and conditions. Supports requirements and obligations of the Javits-Wagner-O’Day ((JWOD) Act and the Cooperative Agreement between SourceAmerica and the U.S. AbilityOne Commission (Commission) Who is SourceAmerica There are approximately 500 NPAs in the SourceAmerica nonprofit network that provide products or services through the AbilityOne Program and approximately 36,000 AbilityOne employees are in the SourceAmerica nonprofit network. AbilityOne Program / Federal Supply Schedule (FSS) support. Responsible for day-to-day management and administration of Prime and subcontract requirements. Negotiate contract and subcontract terms throughout the procurement cycle. Project and performance management. Work closely with Finance, Legal, and internal experts in coordinating contractual and technical commitments. Prepare, negotiate and submit for approval solicitations and subcontracts to potential suppliers during the solicitation process. Work with government contracting activity and end-user representatives. Review and negotiate contract/subcontract terms and conditions, non-disclosure/proprietary information agreements, and teaming agreements. Responsible for contract compliance and reporting, including Federal Acquisition Regulations (FAR), Agency-level supplemental acquisition regulations, Defense Federal Acquisition Regulation Supplement (DFARS), Army Federal Acquisition Regulation Supplement (AFARS), Service Contract Act (SCA), and Davis Bacon Act (DBA). Review solicitations and manage and/or prepare technical and price proposals supporting data for conformity with government agency and company policies. Act as the primary interface between project teams, business unit leadership, and finance personnel, ensuring that all legal and contractual matters are addressed efficiently and promptly. Review contractual documents for accuracy, performance risk, and conformance with contract terms, conditions, and other provisions, including applicable federal regulations and business team objectives, before signature/acceptance. Generate corporate agreements to include Non-Disclosure Agreements (NDAs), teaming agreements, and other agreements as required. Coordinate approval of negotiations, contracts, and subcontracts with appropriate management staff. Provide oversight of contracts, including contract performance monitoring, internal audit, and compliance, audit support, including but not limited to: serving as primary corporate point of contact responsible for scheduled and ad-hoc contract audits initiated by the Department of Labor (DOL), Defense Contract Management Agency (DCMA), Defense Contract Audit Agency (DCAA), and General Services Administration (GSA), liability and performance risk identification, and recommendations for mitigation. Track contract values and government funding per each contract period of performance. Analyze production costs, direct labor hours, overhead rates, proposed bills of material and equipment, and estimated profits/net proceeds for purposes of determining price reasonableness, identify items necessary to meet target objectives, ensure a strong negotiation position for price proposals. Evaluate invoice payments for timeliness of payment to subcontractors and vendors, compliance with contract clauses, terms and conditions, price and delivery issues, and evaluate entitlement of subcontractor claims. Business travel is required for this position based on business need. Salary Range The salary for this position falls in a range between $115,000 - $125,000 depending on your experience and geographic location in the United States. Minimum Qualifications Bachelor's degree in Business administration, Contract Management, Legal Studies, Public Administration, or a related field, or an equivalent combination of education and experience. Minimum of 5 years of progressive experience in federal contract and subcontract administration, including pre-award, award, and post-award activities. Demonstrated knowledge of applicable government contracting regulations, including FAR, DFARS, AFARS, SCA, and DBA. Experience reviewing solicitations and preparing, negotiating, and administering contracts, subcontracts, non-disclosure agreements, and teaming agreements. Proven ability to assess contractual risk, interpret terms and conditions, and provide guidance on compliance requirements and contractual obligations. Experience supporting proposal development, including review of technical and pricing information for conformity with customer and organizational requirements. Ability to manage multiple priorities, work independently, and collaborate effectively with Legal, Finance, business leaders, and cross-functional stakeholders. Strong written, verbal, analytical, and organizational skills, with attention to detail and accuracy. Proficiency with Microsoft Office applications and contract management documentation practices. Ability and willingness to travel as required based on business need. Preferred Qualifications ... Knowledge of FAR, DFARS, SCA, and DBA and applying federal procurement regulations, policies, and practices. Knowledge in subcontract management and ability to apply subcontract management principles and practices. Strong analytical skills to understand customer/client needs, market dynamics, and program management. Can organize complex materials and concepts in a manner that is clear and logical. Succinct presentation skills. Strong presentation and negotiation skills. Ability to build strong relationships with government, subcontractors, and vendors. Experience in establishing new or revised procedures/systems to improve departmental function performance. Ability to work independently and manage a high-volume, diverse workload consisting of a wide variety of contract types, including proposals, statements of work (SOWs), NDAs, third party agreements, software licenses, amendments, and change orders successfully. Ability to exercise business acumen and make thoughtful decisions. Ability to identify key contract obligations and potential business and legal risks and devise and implement strategies for mitigating risks and resolving contractual issues and disputes. Ability to contribute effectively, provide valuable contracting advice to internal business clients, and guide and assist internal clients with comprehending and interpreting business contract requirements. Candidate should have contract administration, pricing, and negotiation experience; strong cost accounting and analytical background preferred.
