Job Title: Contracts and Compliance Manager Job Description
The Contracts and Compliance Manager oversees the full lifecycle of company contracts—drafting, reviewing, negotiating, executing, and monitoring compliance—to minimize risk and ensure all legal and financial obligations are met. This role serves as a central liaison between internal teams such as legal and sales and external partners, managing renewals, maintaining organized records, and aligning contractual terms with performance guarantees, warranty frameworks, service levels, and operational milestones.
Responsibilities- Draft, review, negotiate, and execute a wide range of contracts, including vendor agreements, client contracts, and non-disclosure agreements, ensuring they align with business goals and company standards.
- Identify, analyze, and mitigate potential legal, commercial, financial, technical, and performance risks within contracts, including regulatory, environmental, and safety compliance related to battery systems, transport, and disposal.
- Ensure all parties adhere to contractual terms, obligations, and deadlines, and manage contract renewals, amendments, extensions, and close-outs to maintain continuity and compliance.
- Act as the primary point of contact for contract-related matters, facilitating clear and timely communication between internal departments and external partners.
- Maintain organized, secure physical and digital records of all contracts, correspondence, and supporting documentation, and oversee a centralized contract repository.
- Prepare, present, and explain contract status reports and risk assessments to senior leadership, providing insights and recommendations for decision-making.
- Ensure contracts are aligned with performance guarantees such as capacity, degradation, and uptime, and with warranty frameworks including cycle life, throughput, and calendar life.
- Define and incorporate service levels into contracts, including availability metrics and response times, and ensure these are measurable and enforceable.
- Support commissioning, acceptance testing, and operational milestones by embedding appropriate terms and obligations into contracts.
- Establish and enforce company-wide contracting policies, approval workflows, and authority levels to drive consistency and governance across all agreements.
- Ensure consistency in key contractual terms such as liability, indemnity, insurance requirements, data protection, and intellectual property provisions.
- Partner with technical, commercial, legal, and operational stakeholders to intake and prioritize contract requests, and provide guidance on terms, negotiation strategies, and risk trade-offs.
- Act as a bridge between technical teams and commercial or legal stakeholders, translating complex technical requirements into clear contractual language.
- Develop and maintain standardized contract templates and clause libraries for sales/customer agreements, vendor and procurement contracts, and corporate or administrative agreements.
- Build and refine contracting playbooks tailored to different agreement types, outlining negotiation positions, fallback clauses, and approval requirements.
- Support implementation and ongoing use of Contract Lifecycle Management (CLM) systems, and drive process improvements to increase contracting speed, visibility, and compliance across the organization.
- Lead or support negotiations with third parties across diverse agreements, balancing risk mitigation, business objectives, and speed of execution.
- Ensure proper execution of contracts, including signatures, documentation, and post-signature obligations, and monitor compliance throughout the contract term.
- Manage high-volume contracts and complex agreements simultaneously while maintaining accuracy, timeliness, and adherence to internal policies.
- Contribute to proposals and responses to requests for quotation (RFQ) by reviewing and shaping contractual terms to protect the organization’s interests.
- Support other non-contract-based projects as needed to maintain full-time workload, collaborating effectively with cross-functional teams.
- Bachelor’s degree in Business, Law, or a related field, or equivalent years of experience.
- 4–7+ years of experience in contract administration or contracts management, preferably with exposure to complex commercial agreements.
- Demonstrated ability to scrutinize, draft, and interpret complex legal and commercial terms in contracts.
- Strong negotiation skills with the ability to secure favorable terms while maintaining constructive relationships with internal and external stakeholders.
- Excellent interpersonal and communication skills to manage relationships and facilitate clear, effective discussions across departments.
- High level of precision and attention to detail in identifying potential risks, deviations, and inconsistencies in contracts.
- Familiarity with Contract Lifecycle Management (CLM) software and proficiency with Microsoft Office Suite.
- Proficiency in contract management software and MS Suite tools used for drafting, tracking, and reporting on agreements.
- Proven ability to manage a high volume of contracts and complex agreements simultaneously while meeting deadlines.
- Ability to work independently, take ownership of contract processes, and coordinate with multiple departments and external partners.
- Industry experience in the manufacturing sector, with understanding of typical commercial and supply agreements.
- Strong leadership capabilities in driving contract processes, influencing stakeholders, and enforcing contracting policies.
- Exceptional attention to detail and strong time management skills to prioritize tasks and manage competing deadlines.
- Solid understanding of the legal and financial aspects of contracts, including risk allocation and commercial impacts.
- Experience with contract administration, contract negotiation, and risk mitigation in a corporate environment.
- Advanced degree in Business, Law, or a related discipline is preferred.
- Professional certification such as Certified Commercial and Contract Management Associate is highly regarded.
- CCCM (Certified Commercial Contract Manager) certification is a strong asset.
- Familiarity with battery technologies, including lithium-ion, LFP, and NMC chemistries, and energy storage system (ESS) architectures.
- Experience working with hyperscale or colocation data center customers and their specific contractual requirements.
- Hands-on experience with CLM systems such as Ironclad, Agiloft, or Coupa.
- Knowledge of regulatory frameworks impacting energy storage systems, including environmental, safety, and transport regulations.
- Strong communication and leadership skills to guide cross-functional teams through complex negotiations.
- Ability to contribute to proposals and RFQs by shaping and reviewing contractual terms.
- Openness to relocation as necessary to support business needs.
This is a full-time position in a professional corporate environment where the Contracts and Compliance Manager collaborates closely with legal, sales, technical, and operational teams. The role involves extensive work with contract management software, CLM systems, and the Microsoft Office Suite to draft, track, and report on agreements. While the primary focus is on contract and compliance management, there may be times when the person in this role is asked to support other non-contract-based projects to maintain full-time hours and contribute to broader organizational initiatives. The position interacts regularly with stakeholders across manufacturing and energy storage-related operations and reports into the organization’s legal function. The work setting emphasizes accuracy, confidentiality, structured processes, and cross-functional collaboration.

Pay and BenefitsThe pay range for this position is $67.00 - $73.00/hr.
Individual compensation offered for this position within this range will depend on many factors, including qualifications, skills, relevant experience, job knowledge, geographic location, internal equity, and other pertinent job-related factors.
