About the Role
The Company is in search of an SVP, Associate General Counsel to provide expert legal counsel on a range of complex structured finance and capital markets transactions, with a specific focus on mortgage-backed and asset-backed securitizations. The successful candidate will be responsible for advising on the structuring and execution of these transactions, including the issuance of related securities. This role involves a high level of partnership with senior leadership and core business units, and the individual will be expected to draft, review, and negotiate a variety of transaction documentation. Additionally, the SVP, Associate General Counsel will be instrumental in managing external counsel, overseeing due diligence, and providing strategic legal advice on financing initiatives and capital markets strategy. Applicants must have a J.D. from an accredited law school, active bar membership, and a minimum of 5 years' of legal experience in the relevant areas. A strong background in mortgage-backed securities and securitization structures is essential, as is a deep understanding of the legal and regulatory considerations that impact structured finance products. The ideal candidate will have experience in a law firm and/or in-house at a financial institution, mortgage company, or fintech platform, and a preferred background includes experience with complex securitization programs and large-scale capital markets issuances. The role requires the ability to work cross-functionally in a fast-paced, deal-driven environment and to partner with various teams to mitigate legal and regulatory risk.
