Established full-service Orange County law firm seeks Corporate Paralegal to support a sophisticated transactional practice handling mergers & acquisitions, corporate governance, contracts, and related business matters.

Corporate Paralegal Responsibilities :

• Assist attorneys with mergers & acquisitions transactions, including due diligence, closing binders, and transaction management

• Prepare and maintain corporate governance documents, entity formations, annual filings, resolutions, and related corporate records

• Draft, revise, and organize contracts and transactional documents

• Manage document production, proofreading, and electronic filing systems

• Coordinate transaction closings and maintain closing checklists

• Maintain corporate records and assist with compliance matters

• Utilize Microsoft Office Suite, Adobe, and document management systems for daily workflow management

• Support attorneys and clients in a fast-paced but lifestyle-oriented law firm environment

Hours :

• 40-hour work week

• Flexible start time

• Lifestyle-oriented environment with extremely occasional overtime limited primarily to unique transaction closings

• No billable requirement for the Corporate Paralegal position

Salary :

• $95,000-$125,000 base salary depending on experience

• Quarterly billable hour bonus potential

• Year-end discretionary bonus

Requirements :

1. 2-20+ years of Corporate Paralegal experience within a law firm environment
2. Experience with corporate governance and entity management
3. Ability to work in Irvine near airport (off 73/55 freeways)
