CORPORATE COUNSEL – COMMERCIAL TRANSACTIONS & CONTRACTSLocation: Jacksonville, FL | Fully OnsiteBase Salary: $120,000–$140,000 + Annual BonusSchedule: Monday–Friday | 9:00 AM–6:00 PMExperience: 4+ Years of Commercial ContractingEducation: Juris Doctor (JD) RequiredBar Admission: Active U.S. Bar License RequiredBenefits: Comprehensive Benefits + 401(k) MatchPOSITION OVERVIEWOur client, an established global technology solutions provider, is seeking an experienced Corporate Counsel to join its in-house legal team in Jacksonville, FL.This position focuses on drafting, reviewing, redlining, and negotiating complex commercial contracts, including vendor, supplier, SaaS, software licensing, and service agreements.The ideal candidate combines strong legal expertise with a practical business mindset, helping the organization move transactions forward while minimizing legal and financial risk.WHAT YOU’LL DO• Draft, review, redline, and negotiate commercial agreements, including vendor, supplier, SaaS, licensing, procurement, NDAs, and MSAs.

• Manage domestic and international commercial contract negotiations.
• Partner with procurement, finance, sales, and operations to evaluate legal and business risks.
• Develop and maintain contract templates, negotiation playbooks, and standardized clauses.
• Advise business leaders on contractual obligations, risk exposure, and commercial terms.
• Support corporate governance and compliance with applicable regulations.
• Coordinate outside counsel and assist with commercial disputes and settlement negotiations.
• Improve contract review processes and legal workflows to increase efficiency.WHAT YOU’LL BRING• Juris Doctor (JD) from an ABA-accredited law school.
• Active, unrestricted license to practice law in at least one U.S. jurisdiction.
• Eligibility for Florida Authorized In-House Counsel registration if licensed outside Florida.
• 4+ years of commercial contracting experience within a corporate law firm or in-house legal department.
• Strong experience redlining and negotiating complex vendor, supplier, software licensing, and professional services agreements.
• Ability to identify contractual risks and negotiate practical, business-focused solutions.
• Excellent written and verbal communication skills.
• Confidence advising business leaders and explaining complex legal matters to non-legal stakeholders.
• Strong organizational skills and ability to manage multiple transactions in a fast-paced environment.COMPENSATION & BENEFITS• $120,000–$140,000 base salary.
