For more than a decade, Island Exterior Fabricators (IEF) has operated as a privately owned practice specializing in the delivery of bespoke, high-performing prefabricated facade systems. Our 50-acre manufacturing campus is headquartered in Calverton, New York, and supported by design and engineering offices in Manhattan, Boston, and Hartford.

As Commercial Counsel at IEF, you will serve as a key member of the Legal Department supporting the company's commercial operations, construction projects, manufacturing activities, and strategic business initiatives. Reporting directly to the Chief Legal Officer (CLO), you will be responsible for drafting, reviewing, negotiating, and managing a broad range of commercial agreements, including subcontracts, supplier agreements, consultant contracts, NDAs, and other commercial and project-related documents.

This role will provide practical legal support throughout the project lifecycle, under the direction of the CLO, helping to mitigate risk while supporting business objectives. The Commercial Counsel will collaborate closely with project management, procurement, operations, finance, and executive leadership teams to ensure contracts, corporate filings, claims support, and transactional matters are handled efficiently and aligned with company standards. Subcontracts & Downstream Contracts

• Draft, review, and support negotiation routine commercial agreements, and support the negotiation of more complex transactions.

• Draft, review, and support negotiation of agreements with major suppliers, vendors, and material providers (domestic and foreign)

• Draft and assist with negotiation of professional services agreements with consultants (engineers, architects, specialty consultants)

• Maintain and update standard form subcontract templates and flow-down provisions

Routine Client-Facing Documents

• Review and redline client NDAs, LOIs, and MOUs

• Review and assist with negotiation standard scope and pre-construction agreements on routine projects

• Support CLO on prime contracts — first-pass review and redline to support negotiation on complex matters

Corporate & Transactional Support

• Prepare and maintain corporate guarantees, surety-related documentation, and parent company support documents

• Support corporate filings, entity registrations, and annual report compliance

• Assist with contractor prequalification submissions and license applications

• Assist with the preparation and review of routine asset purchase documents, equipment financing agreements, and related transactional documents

Claims & Dispute Support

• Manage routine claim and dispute correspondence at the project level

• Prepare initial document compilations and chronologies for matters being referred to outside counsel in conjunction with Project teams

• Monitor litigation and arbitration dockets; coordinate with outside counsel on scheduling and document requests.

• Review and respond to routine lien waivers, notices to cure, and preliminary notices and other related duties as directed by the CLO

Minimum Qualifications:

• J.D. with active bar admission (New York preferred; multi-state a plus)

• 5 years of Curtain Wall/Facade experience, minimum

• Minimum 3–6 years of experience in a transactional practice involving commercial contracting, procurement, construction, manufacturing, or project-based work MS Office (Word, Excel, PowerPoint, Outlook), Bluebeam/Adobe

• Experience supporting façade, glazing, specialty contracting, or manufacturing businesses is strongly preferred.

• Familiarity with indemnity provisions, insurance requirements, limitation of liability clauses, warranties, and other commercial risk allocation concepts.

• Excellent drafting and negotiation skills across a range of agreement types; experience managing high volume with competing deadlines

• Familiarity with indemnification structures, limitation of liability clauses, and warranty provisions in commercial agreements

• Familiarity with AIA, ConsensusDocs, or similar standard form contracts a plus but not required

• Ability to exercise independent judgment, communicate practical legal advice, and develop collaborative relationships with internal business teams.

Salary Range: $140,000-155,000

Location: Manhattan, NY or Calverton, NY

ADA Requirements: The position requires the ability to sit or stand for extended periods while using a computer, along with sufficient manual dexterity to operate computers, mobile devices, and related IT equipment. The role may occasionally involve lifting or moving equipment weighing up to 25 pounds, as well as bending, crawling, or climbing—such as accessing under desks or server racks. Candidates must possess the ability to concentrate, troubleshoot, and solve problems in a fast-paced environment, demonstrating strong verbal and written communication skills. The role also demands effective task prioritization, management of multiple simultaneous support requests, and a capacity to quickly learn and adapt to evolving technologies and tools.
