Associate Counsel

An established manufacturing company is seeking an Associate Counsel to support the General Counsel in executing the company's legal strategy, with a primary focus on transactional and commercial legal matters.

This is a hands-on position offering meaningful ownership and exposure across multiple areas of the business. The Associate Counsel will help manage contract review and negotiation, support regulatory compliance, identify legal risks, and provide practical legal guidance to internal departments.

The ideal candidate is a resourceful, detail-oriented attorney who can work independently, manage competing priorities, and balance legal risk with business needs.

Key Responsibilities

• Draft, review, and negotiate commercial agreements, including equipment purchases, SaaS agreements, professional services agreements, and leases.
• Provide practical legal guidance to internal teams regarding contracts, legal risks, and operational decisions.
• Support corporate governance and regulatory compliance initiatives.
• Identify potential legal risks and recommend business-oriented solutions.
• Manage contract workflows to ensure efficiency, consistency, and proper documentation.
• Collaborate with Sales, Operations, HR, and Finance to address legal and business needs.
• Assist in overseeing outside counsel on specialized matters.
• Support internal investigations, compliance initiatives, and policy development.

Qualifications

• Juris Doctor (JD) from an accredited law school required.
• Active bar admission in good standing required.
• 2-6 years of transactional or commercial law experience required, either at a law firm or in-house.
• Experience in a small to mid-sized law firm or business environment preferred.
• Strong contract drafting and negotiation skills.
• Excellent attention to detail and sound legal judgment.
• Ability to work independently and prioritize effectively.
• Practical, business-oriented approach to legal matters.
• Strong interpersonal and communication skills.
• Resourceful, efficient, and adaptable in a fast-paced environment.

Location: Newark, NJ

Type: Full time, in office

Schedule: Monday-Thursday, 8 AM-5 PM; Friday, half-day

Salary: $130,000/year
