Corporate Associate – Delaware (Hybrid)
Direct Counsel is representing an Amlaw 100 firm.

An Amlaw 100 firm is seeking a Corporate Associate with 2–5 years of experience to join its Corporate Practice Group in Delaware . This is a hybrid position offering the opportunity to work at the intersection of high-level transactional work and Delaware’s influential corporate legal landscape.

This Corporate & Securities group is known for guiding clients through complex matters with a focus on:

• Mergers and acquisitions

• Public offerings and private placements

• Joint ventures and fund transactions

• Debt and equity financings

• Corporate governance and fiduciary duty issues

Attorneys on this team work with corporations, partnerships, and LLCs , leveraging Delaware’s unique legal framework to help clients achieve their strategic goals.

• Advise clients on corporate governance, fiduciary duties, and transactional matters

• Draft and negotiate a range of corporate agreements and deal documents

• Support complex M&A, fund formation, and financing transactions

• Provide analysis and counsel on Delaware corporate and alternative entity law

• 2–5 years of corporate transactional experience with a focus on Delaware entities

• Familiarity with Delaware General Corporation Law (DGCL) and Delaware alternative entity statutes

• Experience with M&A, financing, fund transactions, and joint ventures

• Strong academic credentials and excellent written and verbal communication skills

• Prior large firm or well-regarded corporate practice experience preferred

• Must be licensed in Delaware

• Salary range: $210,000 – $260,000/year , based on experience and qualifications

• Annual discretionary bonus eligibility
