Associate Attorney

Associate Attorney, Winston Taylor LLP, New York, NY. Conduct legal research and analysis for cross‑border corporate projects. Review, draft, and negotiate documents related to corporate transactions. Responsibilities Represent lenders on domestic and international project finance deals, including private equity funds, public and private corporations, lead arrangers, banks, and other financial institutions. Draft and analyze credit agreements, security agreements, and ancillary documents for project finance transactions. Review and issue‑spot key project documents for renewable energy projects involving wind, solar, or storage. Work on domestic and cross‑border financing transactions, including construction financing, term‑loan finance, and back‑leverage finances. Negotiate and prepare commitment letters, term sheets, credit agreements, intercreditor agreements, security agreements, control agreements, legal opinions, and other ancillary documents. Manage deal flow and closing process by working directly with clients, borrowers, and borrowers’s counsel. Qualifications Bachelor’s degree in Economics or Finance. J.D. or LL.M. Admitted to the New York Bar. At least 2 years of experience as a finance associate in an international law firm on the above types of transactions. Experience may be gained concurrently. Pay Range: $365,000 to $390,000 per year. Search firm submissions will not be accepted.
