Corporate Associate

RIW is seeking an associate attorney with a minimum of two years’ experience in generalbusiness transactional work to join our growing corporate, M&A, and commercial transactions team. Qualified candidates must demonstrate a strong academic background, articulate communication skills, leadership ability, and entrepreneurial mindset. Experience should include a basic understanding of entity selection and formation, M&A transaction deal flow including basic drafting of transaction documents, due diligence, schedule preparation, and closing coordination. Basic understanding of securities law preferred but not required. Candidates must demonstrate an interest and ability to work directly with business owners and executives as outside general counsel to service general commercial legal needs. Responsibilities: Initial transaction document review and drafting with direct oversight and clientinteraction Direct transaction team-member responsibility on buy-side and sell-side M&Atransactions Prepare schedules and assist with closing coordination Conduct due diligence in corporate and real estate transactions Research, comprehend, and report on general commercial matters in an outside generalcounsel capacity Blend of transaction and deal exposure across a range of industries including software,consulting, manufacturing, development, sales and distribution, transportation, franchise,restaurant, food, and hospitality, and real estate Transparent and collegial work environment, client-facing engagements, hands-onexposure to sophisticated transactions in a mid-sized firm environment Competitive salary, benefits, and flexible work environment Qualifications: Two or more years of general business transactional and contract drafting experience(part time and summer associate experience acceptable) Strong academic background Basic understanding of APA, MIPA, SPA, and commercial finance transaction documents Demonstrated ability to communicate, lead, and self-motivate Entrepreneurial mindset and desire to build a legal practice Candidates selected to move forward may also be asked to provide a law school transcript, writing sample and list of transactional matters.
