About the Position

\n

Lewis Ringelman P.C. is seeking an experienced Senior Associate Attorney or Counsel to join our business and corporate practice. We are looking for a transactional attorney with substantial experience in corporate and commercial matters who is ready to take an active role in managing transactions, advising clients, and helping drive matters from inception through closing.

\n

The successful candidate will work directly with the firm’s attorneys and clients on sophisticated transactional and general corporate matters and will be expected to assume meaningful responsibility for transactions and client relationships. This position is well suited for an attorney who exercises sound judgment, takes ownership of assignments, communicates effectively with clients and counterparties, and is comfortable managing multiple matters in a collaborative, entrepreneurial law firm environment. This role offers candidates the opportunity to lead sophisticated transactions and work directly with clients and decision makers, with support and without the bureaucracy or office politics of a large firm.

Our clients operate in a wide range of industries, including energy and natural resources (oil and gas and mining), manufacturing and industrial, construction, technology, technology-enabled services, and professional services.

The firm’s practice includes mergers and acquisitions, corporate counseling and governance, commercial transactions, finance and securities, international transactions, environmental and regulatory matters, and litigation and dispute resolution.

Role and Responsibilities

\n

The Senior Associate Attorney or Counsel will have an active role in the firm’s transactional practice, including responsibility for:

\n

\n
• Leading and managing significant aspects of mergers and acquisitions, financings, investments, restructurings, and other corporate and commercial transactions from initial structuring through closing.
\n
• Drafting, reviewing, and negotiating acquisition agreements, operating and shareholder agreements, financing documents, commercial contracts, equity and incentive arrangements, and other transactional documents.
\n
• Coordinating transaction processes, including due diligence, disclosure schedules, ancillary agreements, closing documentation, and post-closing matters.
\n
• Working directly with clients to understand business objectives, identify legal and commercial issues, and develop practical solutions.
\n
• Participating actively in negotiations with opposing counsel, lenders, investors, accountants, and other transaction participants.
\n
• Advising clients on ongoing corporate matters, including entity formation and structuring, corporate governance, commercial arrangements, equity issuances, and other general business matters.
\n
• Identifying and analyzing legal, business, and transaction risks and communicating recommendations clearly to clients and supervising attorneys.
\n
• Managing multiple transactions and workstreams simultaneously while maintaining responsiveness, accuracy, and attention to detail.
\n
• Supervising and coordinating the work of more junior attorneys, paralegals, and other professionals when appropriate.
\n
• Contributing to the continued development of client relationships and the firm’s corporate and transactional practice.

Qualifications

\n

Candidates should have:

\n

\n
• A Juris Doctor (J.D.) degree from an accredited law school.
\n
• An active license to practice law in Colorado, or the ability to obtain admission in Colorado promptly.
\n
• At least five years of substantial corporate and commercial transactional experience, preferably including mergers and acquisitions and general corporate representation.
\n
• Significant experience drafting and negotiating complex transactional agreements.
\n
• The ability to manage transactions and significant workstreams with appropriate independence and judgment.
\n
• Strong analytical, drafting, negotiation, and communication skills.
\n
• Excellent organizational skills, attention to detail, and the ability to prioritize and manage multiple matters in a deadline-driven environment.
\n
• A practical, business-oriented approach to legal issues.
\n
• The ability to work independently while also collaborating effectively with other attorneys, staff, clients, and outside professionals.

Compensation and Benefits

\n

Annual compensation is expected to range from $225,000 to $300,000, depending on experience, qualifications, and the candidate’s anticipated role and level of responsibility within the firm.

\n

Benefits include medical, dental, vision, life and disability insurance, a 401(k) plan with a 3% employer matching contribution, paid time off, and firm-paid bar dues.
