Oil and Gas Transactional Attorney

Martin Legal Group is seeking an experienced Oil & Gas Transactional Attorney to join our growing team in Dallas, Texas. This position will focus on drafting, reviewing, negotiating, and closing oil and gas, energy, real estate, and related commercial transactions. Candidates must be licensed to practice law in Texas and in good standing and have at least five years of transactional legal experience, preferably with an oil and gas, energy, real estate, or commercial practice or as in-house counsel. WHO YOU ARE You enjoy negotiating, structuring, and documenting sophisticated transactions. You are comfortable taking ownership of matters from initial drafting through closing. You have excellent drafting, negotiation, analytical, and communication skills. You understand both legal risk and the client's business objectives. You value accurate, timely, and practical work product. You work well both independently and as part of a team. WHAT YOU'LL DO Draft, review, and negotiate oil and gas, energy, real estate, and commercial agreements. Represent clients in acquisitions and divestitures of oil and gas, mineral, data center, real estate, and energy-related assets. Draft and negotiate purchase and sale agreements, leases, assignments, easements, surface-use agreements, operating agreements, and many other commercial contracts. Manage transactions from negotiation and due diligence through execution and closing. Advise clients on contractual, operational, and commercial issues. Work directly with clients, counterparties, and opposing counsel to move transactions toward completion efficiently. EXPERIENCE / QUALIFICATIONS Minimum five years of transactional legal experience. Significant experience drafting and negotiating commercial agreements. Oil and gas acquisition and divestiture experience strongly preferred. Experience with real estate, midstream, power, electricity, or data center transactions is a plus. Oil and gas title experience is helpful, but this is primarily a transactional position. Currently licensed and in good standing with the State Bar of Texas. New Mexico, Oklahoma, Louisiana, or Ohio licensure is a plus. Board Certification in Oil, Gas and Mineral Law is a plus. Excellent drafting, negotiation, analytical, and communication skills. Position is based in our Dallas office and is on-site.
