Life Sciences Transactions Associate Attorney

Direct Counsel is seeking a Life Sciences Transactions Associate Attorney to join a prestigious Am Law firm with a leading Technology Transactions practice.

Responsibilities:

• Draft, review, and negotiate license agreements, collaboration agreements, research and development agreements, and other commercial transactions.

• Advise biotechnology, pharmaceutical, medical device, diagnostic, digital health, agricultural biotechnology, and food industry clients on transactional matters.

• Structure and negotiate patent licensing, commercialization, distribution, supply, manufacturing, and clinical trial agreements.

• Advise on intellectual property management, licensing strategies, and risk mitigation.

• Support venture financings, mergers and acquisitions, and joint ventures through intellectual property and commercial contract due diligence.

• Collaborate with corporate, intellectual property, regulatory, and litigation attorneys on complex domestic and cross-border transactions.

• Manage multiple matters and client relationships while maintaining responsiveness and attention to detail.

Requirements:

• J.D. from an accredited law school and admission to the California Bar.

• 3–6 years of relevant experience at a top law firm or in-house legal department.

• Strong preference for candidates with substantial life sciences experience.

• Knowledge of the legal, regulatory, and business issues affecting the life sciences industry.

• Excellent drafting, analytical, negotiation, and communication skills.

• Ability to manage multiple matters and clients in a fast-paced transactional environment.

• Experience or interest in agricultural biotechnology, plant biotechnology, food, or consumer packaged goods is a plus.

• An undergraduate or advanced degree in biological sciences, chemistry, pharmacy, business, or a related field is preferred but not required.

Location: San Diego, CA

Compensation: $260,000–$365,000 annually, plus potential discretionary bonus and comprehensive benefits.
