Senior Counsel - M&A (Northbrook)

As a member of the Legal team, reporting to the Vice President of Legal and Assistant Corporate Secretary, you will serve as a primary attorney for UL Solutions’ corporate and business leadership. The estimated salary range for this position is $190,000 to $220,000 and is based on multiple factors, including job-related knowledge/skills, experience, geographical location, as well as other factors. This position is eligible for annual bonus compensation with a target payout of 20% of the base salary. This position also provides health benefits such as medical, dental and vision; wellness benefits such as mental and financial health; and retirement savings (401K) commensurate with the standard rewards offered in each individual location or country. We also provide full-time employees with paid time off including vacation (15 days), holiday including floating holidays (12 days) and sick time off (72 hours).#LI-BW1#LI-HybridAdvise business partners, corporate functions and senior leadership on M&A transactions, venture investments, corporate governance, corporate restructuring and financing.Collaborate cross-functionally to evaluate and resolve legal matters that arise with respect to strategic transactions and corporate governance and administration matters.Review, draft and negotiate agreements related to UL Solutions’ strategic transactions.Lead special projects furthering the strategic goals and initiatives of UL Solutions.Work with the Corporate Secretary and Assistant Corporate Secretary in the coordination and administration of key facets of UL Solutions’ Board and Committee meetings.Assist in developing, refining and overseeing policies, processes, and organizational controls to ensure UL Solutions’ compliance with applicable laws and regulations around the globe.Manage and coordinate legal advice and support of UL Solutions Legal with respect to strategic initiatives and provide expertise and guidance to harmonize issues.
