This role is ideal for an attorney who enjoys serving as a trusted business advisor, partnering with innovative companies, and handling sophisticated corporate transactions while leveraging technology to improve legal service delivery.The successful candidate will have approximately 5–7 years of corporate law experience and be comfortable independently managing matters involving entity formation, governance, financings, strategic transactions, commercial agreements, and corporate operations.ResponsibilitiesAdvise clients on corporate governance, entity formation, and organizational structuring. Draft, review, and negotiate a variety of corporate and commercial agreements. Support capitalization, equity, financing, and investment-related transactions. Counsel growth-oriented businesses on day-to-day corporate legal matters. Assist with mergers, acquisitions, strategic transactions, and corporate restructurings. Advise Delaware corporations and LLCs regarding governance and compliance matters. Collaborate with business stakeholders to provide practical, commercially focused legal guidance. Utilize legal technology and legal operations tools to improve efficiency and service delivery. Manage multiple matters independently while maintaining exceptional responsiveness and client service. QualificationsJ.D. from an accredited law school. Active U.S. bar membership with Arizona licensure or ability to waive into Arizona preferred. 5–7 years of corporate law experience. Strong experience with entity formation, governance, financings, and commercial contracts. Ability to independently manage legal matters and interact directly with business leaders. Excellent drafting, negotiation, and communication skills. Experience supporting technology, SaaS, startup, or high-growth companies is strongly preferred.
