Corporate Associate AttorneyDirect Counsel is seeking a Corporate Associate Attorney to join a leading global law firm in its Short Hills, New Jersey office. This is an excellent opportunity for a mid-level corporate attorney to work with a highly regarded transactional practice advising emerging growth companies, investors, and established businesses on a broad range of sophisticated corporate matters.Position OverviewThe associate will join a dynamic corporate practice with exposure to a variety of complex transactions, including mergers and acquisitions, venture capital financings, and general corporate counseling for emerging growth companies. This role offers significant client interaction, hands-on deal experience, and opportunities to develop specialized expertise as the attorney progresses in their career.The ideal candidate will thrive in a fast-paced, collaborative environment and possess strong transactional experience from a top-tier law firm, though candidates with relevant in-house or government experience are also encouraged to apply.Key ResponsibilitiesConduct comprehensive legal research and analysis to support transactional strategies and deal execution.Draft and review transactional documents, including purchase agreements, financing documents, corporate governance materials, memoranda, and client correspondence.Assist with and manage complex transactions from inception through closing, including mergers and acquisitions, venture capital financings, and other strategic corporate matters.Collaborate closely with partners, associates, and cross-functional teams to develop efficient transaction strategies and deliver high-quality client service.Participate in client calls, negotiations, diligence reviews, and deal closings.Maintain regular communication with clients, providing updates, advice, and practical solutions to legal issues.Ensure compliance with applicable legal standards, regulations, and evolving corporate law developments.Contribute to professional development initiatives, firm programs, and pro bono efforts.QualificationsJ.D. from an accredited law school.3–6 years of corporate transactional experience, preferably from an Am Law 100 or similarly sophisticated law firm.Experience with M&A transactions, venture capital financings, and/or emerging growth company representation is preferred.Admission to practice in the jurisdiction where the candidate will be based or eligibility to obtain admission.Strong legal research, drafting, and analytical skills.Excellent written and verbal communication abilities.Ability to manage multiple priorities and work effectively in a fast-paced environment.Strong organizational skills, attention to detail, and sound professional judgment.Demonstrated ability to work both collaboratively and independently.Compensation & BenefitsThis position offers a competitive compensation package. The expected salary range for this role is $260,000 – $390,000, depending on experience, qualifications, and geographic considerations.
