About the Role
The Company is in search of a General Counsel & Chief Legal Officer to join their leadership team. This senior executive will be a key business partner, leading the legal function across commercial contracting, M&A, strategic partnerships, corporate governance, compliance, and risk. The role demands a legal executive with a dealmaker's mindset and a business leader's approach, capable of negotiating complex agreements, structuring acquisitions, and ensuring the integrity of board governance. The successful candidate will be responsible for the company's commercial contracting function, including the negotiation of high-value client agreements, and will also lead the legal execution of all M&A and joint ventures. Board governance and corporate secretary duties are integral to the position, as is the management of the enterprise compliance program and the company's ethics and business conduct framework. Applicants for this role at the company should have a minimum of 15 years' legal experience, with a strong background in corporate, M&A, or commercial transactions. A JD from an accredited law school and active bar admission are required. The ideal candidate will have a proven track record in leading complex commercial negotiations, M&A transactions, and building scalable legal infrastructure. Experience in board governance, including direct interaction and securities compliance, is essential. The role is not suited for those who view legal as a risk-avoidance function or who are not prepared to be actively involved in the company's fast-paced, disruptive environment. The General Counsel & Chief Legal Officer will also be responsible for managing a high-performing in-house legal team, developing talent, and ensuring that the legal function is a competitive advantage for the business.
