Finance Associate Attorney (Leveraged Lending)
Locations: Boston, MA | Denver, CO | New York, NY
Compensation: $260,000–$390,000

Direct Counsel is seeking a Finance Associate to join the Finance Practice of a premier Am Law firm . This opportunity is ideal for an attorney with 3–6 years of sophisticated finance experience representing banks, institutional lenders, and borrowers in secured lending transactions.

The ideal candidate has substantial experience handling leveraged finance transactions and is comfortable managing complex financing matters in a fast-paced, collaborative environment. This role offers significant client interaction and the opportunity to work on high-profile domestic and cross-border financing transactions alongside a nationally recognized finance team.

Responsibilities

• Represent banks, institutional lenders, and borrowers in secured lending transactions.
• Draft, review, and negotiate loan agreements, security agreements, intercreditor agreements, commitment papers, and related financing documents.
• Advise clients on leveraged lending, syndicated lending, sponsor finance, and other commercial lending transactions.
• Coordinate transaction closings, manage due diligence, and oversee financing workstreams.
• Serve as a primary point of contact for clients, opposing counsel, and transaction participants.
• Collaborate with attorneys across corporate, private equity, restructuring, and capital markets practices on complex financing matters.
• Provide practical, business-focused legal advice while managing multiple sophisticated transactions simultaneously.

Qualifications

• J.D. from an ABA-accredited law school with strong academic credentials.
• 3–6 years of finance experience at a leading law firm.
• Significant experience representing banks, institutional lenders, and borrowers in secured lending transactions.
• Experience with leveraged finance is strongly preferred; experience in syndicated lending, sponsor finance, or other commercial lending transactions is highly desirable.
• Strong drafting and negotiation skills involving loan agreements, security documentation, intercreditor agreements, commitment papers, and closing documents.
• Excellent project management, communication, and client relationship skills.
• Demonstrated ability to manage complex transactions with minimal supervision.
• Active bar membership in good standing or eligibility for admission in the applicable jurisdiction.
