Senior Counsel – Retirement Plan Services We seek an experienced attorney with a strong business orientation to provide legal expertise in drafting, reviewing, and negotiating contracts for retirement plan recordkeeping, trust, advisory, and other services. The Senior Counsel will advise on legal risk, mitigation, and business initiatives across corporate, government, non‑profit, union, multi‑employer, and institutional plans, and will help drive efficiencies and innovation in the contracting process. Responsibilities Review, draft, and negotiate client contracts and related documents for retirement plan services. Advise on creating RFPs and related documents in close collaboration with contract specialists and Legal Department members. Draft and negotiate vendor contracts including services agreements, sourcing agreements, statements of work, NDAs, software licensing agreements, SaaS agreements, amendments, and other contractual documents with third‑party providers. Lead complex commercial transactions and provide strategic legal advice, working proactively with business leadership to anticipate issues and reach successful outcomes. Apply sophisticated legal analysis to identify and understand contractual risk and assess business impact. Communicate legal and commercial issues effectively to all levels of management, partners, internal associates, clients, vendors, and external counsel. Provide guidance on contract terms, business positions, and the contracting process. Adapt quickly to change and seek opportunities for learning and improvement. Build relationships with business stakeholders and serve as a key point of contact for contract inquiries and issues. Analyze complex issues, develop legal strategies, and ensure compliance with regulatory requirements. Support internal teams on contract matters, including structuring, interpretation, compliance, risk assessment, and enforcement. Assist with transactional due diligence and facilitate closure of potential deals such as acquisitions, mergers, reorganizations, or other corporate transactions. Research, interpret, and advise on federal/state laws and regulations as needed. Contribute to a culture of innovation and growth while managing risk. Mentor and lead within the legal function, identifying challenges, evaluating alternatives, and implementing solutions. Develop and improve standard contract documents, templates, policies, and compliance requirements. Enhance repeatable processes to increase efficiency, compliance, and risk reduction. Manage competing priorities, meet deadlines, and achieve positive results. Work collaboratively, providing guidance and expertise to colleagues. Qualifications J.D. from an accredited law school. Licensed and admitted to practice with the state bar in good standing. 5+ years of experience reviewing, drafting, and negotiating complex agreements with large, sophisticated clients. Strong knowledge of contract law fundamentals and ability to work on a wide range of agreements. Financial services and retirement services industry knowledge strongly desired. Exceptional ability to interface with various stakeholders, including procurement, sales, external clients, vendors, and legal counterparts. Diligent customer‑service orientation, teamwork, and willingness to take on new tasks. Commitment to delivering optimal solutions in a timely manner. Initiative to reduce risk and improve quality of customer services. Strong organizational and time‑management skills, prioritizing multiple projects and deadlines. Discretion, sensitivity, and integrity in handling confidential information. Proficient in MS Word, Outlook, and Excel. General understanding of privacy laws and data protection constructs. Familiarity with mutual fund participation/partnership agreements, service/distribution agreements, broker‑dealer selling agreements, and related regulatory frameworks desirable.
