Location: Hybrid position based in downtown Chicago, Illinois, offering the flexibility to balance in-office collaboration with remote work.

Note: Applicants must have 2+ years of corporate transactional experience. Must have exposure to tax law. Experience advising clients on partnership structures, joint ventures, operating agreements, and tax strategy. Active Illinois bar admission is required.

Job Description

• Advise clients on the formation, structure, and operation of pass-through partnerships and joint ventures.
• Draft, review, and negotiate operating agreements and related corporate governance documents.
• Counsel clients on complex federal and state tax strategies.
• Prepare and review tax opinions supporting client transactions.
• Collaborate with attorneys across corporate, finance, real estate, and other transactional practice areas.
• Provide practical legal advice tailored to clients' business objectives.
• Manage multiple sophisticated matters while maintaining exceptional client service.
• Build and maintain strong client relationships through responsive and strategic legal counsel.

Qualifications

• Juris Doctor from an accredited law school.
• Active Illinois law license in good standing.
• 2+ years of corporate transactional experience. Must have exposure to tax law.
• Experience with pass-through partnerships, joint ventures, operating agreements, and tax planning.
• Experience preparing tax opinions.
• Excellent written and verbal communication skills.
• Strong organizational and time management abilities.
• Self-motivated with exceptional attention to detail.
• CPA designation is a plus but not required.
• Candidates with prior law firm experience are welcome from in-house or solo practice backgrounds.
