MB Attorney Search is conducting a confidential search for a Capital Markets Attorney to join the Chicago office of a nationally recognized law firm with a sophisticated corporate and securities practice. This opportunity is ideal for an experienced capital markets attorney seeking a strong platform to continue growing an established practice while advising public companies, financial institutions, and other market participants on complex securities transactions and regulatory matters. The firm offers sophisticated transactional work, an established client base, and a collaborative environment that supports long-term practice growth. Responsibilities Advise public and private companies, investment banks, and other market participants on capital markets transactions and securities law matters. Structure and execute a broad range of equity and debt offerings, including public and private securities transactions. Draft and negotiate offering documents, underwriting agreements, purchase agreements, and related transaction documents. Counsel public companies on SEC reporting, disclosure obligations, corporate governance, and securities law compliance. Lead complex transactions from initial structuring through closing while coordinating multidisciplinary deal teams. Develop and maintain trusted client relationships while contributing to the continued growth of the firm's capital markets practice. Mentor junior attorneys and collaborate across corporate, finance, tax, executive compensation, and other practice areas. Qualifications Significant experience representing issuers, underwriters, financial institutions, or other market participants in sophisticated capital markets transactions. Strong background advising clients on securities offerings, SEC reporting, corporate governance, and related securities law matters. Excellent drafting, negotiation, analytical, and client counseling skills. Demonstrated success developing and maintaining client relationships, with some portable business and a strong track record of originating business preferred. Strong academic credentials and sound professional judgment. Licensed to practice law in Illinois or eligible for admission.
