Corporate Transactions & Capital Markets Associate Attorney AmLaw 100 Opportunity Compensation$235,000 – $420,000+
A leading international law firm is seeking a Corporate Transactions & Capital Markets Associate Attorney to join its Chicago office.
This opportunity is ideal for an attorney interested in representing public and private companies, private equity sponsors, investment banks, and other market participants in sophisticated corporate transactions and capital markets matters.
Ideal Background• 3–6 years of corporate transactional and/or capital markets experience
• Experience with capital markets transactions, mergers & acquisitions, securities offerings, and general corporate matters
• Experience representing issuers, underwriters, private equity sponsors, or public companies preferred
• Experience advising clients on public and private securities offerings, SEC reporting obligations, and corporate governance matters
• Experience drafting and negotiating purchase agreements, underwriting agreements, registration statements, disclosure documents, and other transaction documents
• Experience with public company reporting, including Forms 10-K, 10-Q, 8-K, proxy statements, and other SEC filings , is a plus
• Strong drafting, negotiation, analytical, and communication skills
• Ability to manage transactions and work directly with clients
• Excellent academic credentials
• J.D. from an ABA-accredited law school required
• Illinois bar admission required or ability to become admitted
