Transaction Counsel CPACEThe Transaction Counsel is an in-house legal opportunity to assist with the origination, closing and asset management components of C-PACE financing transactions from $10,000,000+. In addition, the Transaction Counsel may, from time to time, be asked to assist Nuveen Green Capital with capital market transactions and possible other lines of business outside of C-PACE financing transactions.Key Responsibilities and DutiesDrafting commercial C-PACE financing and related agreementsSimilar responsibilities as needs dictatePerforming legal diligence on C-PACE transactions, including, as needed: review of capital stacks for new development transactions, review of environmental status and documents, review of borrower organization documents, title work, condominium documents, lease agreements, contractor installation agreements, etc.Reviewing closing, conveyancing, loan, and corporate resolution documents in connection with transactionsTracking transaction tasks, parties, and key dates, and communicating progress to team as issues and tasks are resolved.Tracking and following up on post-closing mattersCoordinating recordation of C-PACE closing documents, amendments, and other documents to be recordedConducting basic legal and business researchAssisting with the research, development, and roll out of new lines of businessSupporting capital market transactions undertaken by the Company as needs dictateEducational RequirementsDoctoral Degree Law RequiredWork Experience3+ Years Required; 5+ Years PreferredCareer Level7ICPhysical Requirements: Sedentary Work Required Experience: 3 + years of law firm or in-house legal experience representing commercial real estate lendersPreferred Experience:5+ years of law firm or in-house legal experience representing commercial real estate lendersExperience with Commercial Property Assessed Clean Energy (C-PACE) financing structuresSecondary market and securitization experienceExperience structuring and negotiating work-outs and drafting forbearance agreements# LI-CS1Related SkillsAccountability, Adaptability, Clean Energy Acumen, Collaboration, Commercial Mindset, Consultative Communication, Continuous Improvement Mindset, Executive Presence, Prioritizes Effectively, Stakeholder EngagementAnticipated Posting End Date:2026-09-19Base Pay Range: $126,000/yr - $196,000/yrActual base salary may vary based upon, but not limited to, relevant experience, time in role, base salary of internal peers, prior performance, business sector, and geographic location.
