Position Overview:

Reporting to the General Counsel, the Senior Counsel will provide legal support on a wide variety of topics, including solar project development and construction; mergers and acquisitions; corporate and project finance; and applicable federal, state, and local laws and regulations. The ideal candidate willdemonstrate an entrepreneurial passion for renewable energy development.


Responsibilities:

• Providing legal advice and practical guidance on project development, M&A and financing transactions, and other commercial matters
• Performing and/or managing due diligence review of development assets and acquisition targets
• Drafting, reviewing, and negotiating a broad range of documents and agreements for renewable energy transactions, with an emphasis on project documents such as offtake, site control, construction, procurement, and service agreements
• Assisting with the development and implementation of policies and procedures to identify and mitigate legal risks to the Company and to promote efficient structuring, execution, and administration of operations and investments
• Managing outside counsel to ensure that the Company receives high-quality, cost-effective legal services
• Managing business and legal aspects of entity organization, governance, and operations for the Company, its affiliates, and its managed portfolios
• Analyzing diverse legal and commercial issues and developing and advocating a strong Company position
• Supporting Legal Department goals, priorities, and initiatives
• Collaborating effectively across the business to improve deal processes and outcomes

Qualifications:

Must be passionate about the renewable energy business, hardworking and thrive in the fast pace of a rapidly growing company. In addition, the candidate must possess:

• At least 6 years of law firm, in-house, or other equivalent legal experience
• A J.D. from an accredited law school
• Membership in good standing of at least one state bar
• Relevant experience with project development, M&A, and/or project finance in the renewable energy industry, or comparable experience representing companies in other energy or infrastructure sectors
• Strong legal writing and research skills and proficiency in the Microsoft Office Suite
• Excellent negotiation and advocacy skills

• Demonstrated ability to support transactions from inception through integration, including coordinating with internal and external lawyers, key company stakeholders, and cross-functional teams
• Creative problem solver who can help project teams navigate to successful resolutions
• Clear and concise communicator in both verbal and written communications (especially contract drafting), able to deliver difficult or complex messages to a wide variety of audiences in a skilled and tactful manner
• Excellent analytical skills with a knack for identifying legal and business issues and risks, anticipating problems, and developing and proposing actionable advice and solutions
• High capacity to balance competing and fluid priorities and deadlines successfully and exercise solid business judgment consistently
• Committed to continuous improvement and professional growth with an interest in taking on new challenges

Location: NYC or D.C. preferred, but remote will be considered

Compensation Range:

The salary range for this position is $190,000 - $210,000, plus individuals will be eligible for an annual discretionary bonus and incentive equity awards, all at the sole discretion of the Company and in accordance with Company policy. Actual compensation within the range will be dependent upon the individual's skills, experience, qualifications and location, and applicable employment laws. Note that title and salary will be commensurate with candidate experience.
