Direct Counsel is seeking a Representations & Warranties Insurance (RWI) Staff Attorney to join a leading Am Law 100 law firm with one of the largest and most sophisticated representations and warranties insurance practices in the country.
This unique opportunity is ideal for an experienced corporate or M&A attorney interested in working at the intersection of transactional law, risk assessment, and insurance underwriting. The team advises insurance underwriters and transaction parties on complex M&A transactions, reviewing hundreds of deals annually across a wide range of industries.
About the RoleThe firm's nationally recognized RWI team consists of experienced corporate attorneys who support insurance underwriters in evaluating transaction risk and issuing representations and warranties insurance policies in connection with mergers and acquisitions.
Attorneys in this role will:
Review and analyze private M&A transaction documents, including purchase agreements and ancillary transaction documents.
Evaluate legal due diligence reports and identify transactional risks.
Assess potential legal exposures associated with acquisitions and investment transactions.
Coordinate with subject matter experts across various legal disciplines to evaluate deal-specific risks.
Advise underwriters regarding policy coverage and risk allocation.
Counsel transaction parties regarding the procurement and use of representations and warranties insurance.
Develop and maintain relationships with insurance underwriters, brokers, and deal professionals.
Support multiple transactions simultaneously in a fast-paced, deadline-driven environment.

QualificationsJ.D. from an ABA-accredited law school.
4+ years of corporate, M&A, private equity, transactional, or related legal experience.
Strong understanding of the M&A transaction lifecycle and deal process.
Experience reviewing and negotiating acquisition agreements and related transaction documents.
Familiarity with transactional risk concepts, including:
Representations and warranties
Indemnification structures
Purchase price adjustment mechanisms
Litigation exposure
Damages analysis and risk allocation
Strong analytical, organizational, and critical-thinking skills.
Excellent written and verbal communication abilities.
Ability to manage competing deadlines and work effectively under deal-driven time pressures.
Strong interpersonal skills and ability to collaborate within a team-oriented environment.
Experience procuring, negotiating, underwriting, or advising on representations and warranties insurance policies.
Prior exposure to insurance-backed M&A transactions.
Experience working with private equity sponsors, strategic buyers, or transaction advisors.

Expected annual compensation ranges from $250,000 – $400,000 , commensurate with experience, plus eligibility for a discretionary bonus.
