Associate Counsel

Position Summary The Associate Director, Corporate Counsel, Legal Contracts is responsible for providing high‑quality contractual legal services, drafting and negotiating agreements, ensuring compliance, and optimizing contracts related policies and procedures. Responsibilities Draft, review, and negotiate a wide variety of agreements across departments (e.g., Research and Development, Clinical Trial, Sponsored Research, Material Transfer, Licensing, Manufacturing, Master Services, Vendor, Consulting, Confidentiality, Operations, Commercial). Draft and negotiate other types of agreements as needed. Provide legal advice on contract matters including structuring, interpretation, compliance, enforcement, risk assessment, and regulatory compliance. Resolve legal and compliance issues through negotiation with sophisticated counterparties. Partner closely with business units to address current and future needs and resolve internal/external challenges. Assist with optimization, implementation, and monitoring of contracting policies, procedures, and programs. Maintain current knowledge of new laws, case‑law trends related to contracts, and regulatory developments; recommend process or product improvements. Education & Experience Juris Doctor from an ABA‑accredited law school. Active California Bar license or qualified to practice as in‑house counsel in California. Minimum 6–8 years of attorney experience, with combined corporate legal experience at a biotechnology, pharmaceutical, medical device, or other life‑sciences company; law‑firm experience preferred. Additional Skills & Experience Experience drafting and negotiating broad range of life‑sciences contracts (e.g., Collaboration Agreements, Sponsored Research, Clinical Trial, Master Service, License, Supply, Confidentiality). Strong contract drafting and negotiation skills. Excellent verbal and written communication; able to explain contractual language clearly. Experience using contract management systems. Ability to garner cross‑functional support with sensitivity and tact. Strong attention to detail and big‑picture thinking. Independent, self‑starting, prioritized in fast‑paced environment. Strong internal and external customer‑service mentality and sense of urgency. Capacity to work independently and as part of a team. Successful record creating and managing complex project plans; flexible to modifications. Work Location All positions require face‑to‑face work with colleagues and/or onsite in San Diego; no role is expected to be 100% remote. Compensation Target base pay range: $173,000.00 - $225,000.00. Compensation includes base pay, short‑term incentive, and long‑term incentive (company stock). Actual pay depends on experience, education, skills, and location.
