Exclusive In-House Counsel Search, Finance with Energy/Infrastructure Focus (New York City Metropolitan Area)

Join a global financial institution’s North American finance team in NYC, focused on energy and infrastructure, as the second legal counsel. Be at the forefront of this exploding sector as data centers transform the industry and power demand is rapidly increasing. Renewables, battery storage, strategies, and AI technologies are impacting public and private capital markets. Advise asset managers, corporations, institutional investors, banks and other financial institutions primarily engaged in conventional power, renewable energy, energy transition, midstream oil and gas and digital infrastructure.

3-5+ years of top BigLaw/in-house experience on complex project development and finance transactions OR general banking, lending, finance or credit with an interest in this sector is key. Commercially savvy lawyers who want to be intellectually stimulated working on cutting edge transactions and fully embedded in a creative and innovative “smart money” business team will thrive.

Responsibilities include:

• Advise the Energy and Infrastructure Finance team and wider group of stakeholders on transactional matters including: Origination, execution and closing of transactions where company leads or participates as a term or revolving lender, letter of credit issuer, arranger/bookrunner, administrative or collateral agent; Primary and secondary loan syndications; Administrative and collateral agency operational and other services, including loan disbursements and letter of credit issuances and draws; and Loan portfolio review and monitoring, including management of amendments, consents and waivers.
• Partner with the senior legal counsel, prepare, review and/or negotiate NDA’s, reliance and non-reliance letters, letters of credit, engagement letters, and loan closing, draw down and payoff documents.
• Collaborate with outside counsel, attorneys and professionals, including consultants on technical/engineering, environmental, insurance and other specialist areas.
• Manage and test evolving Legal AI technology and software to optimize routine legal tasks;
• Participate in and lead meetings with clients and stakeholders; and attend industry events.

Compensation is highly competitive, including a base salary of up to $300K, depending on experience, plus generous target bonus and a full suite of benefits.
