Securities ParalegalThis role is for the primary SEC reporting paralegal on a team of dedicated corporate paralegals and will report to a senior attorney in the Corporate Secretary’s Office to assist with public company reporting requirements and general corporate matters.Specific Responsibilities Include:Draft and file Section 16 filings (Forms 3, 4 and 5) and maintain corresponding executive officer equity ownership informationAssist in the preparation of the annual proxy statement and manage cross-functional audit supportProvide support on corporate governance matters, including D&O questionnaires, shareholder engagement and annual meeting preparationAssist with periodic reports under the ’34 Act, including Forms 10-Q/KEstablish and implement best practices for reporting and legal entity managementManage and implement processes under the company's insider trading policyLiaise with transfer agentConduct peer benchmarking and legal researchAssist the corporate legal team with other projects as neededPreferred Qualifications:3+ years of relevant experience with a major public corporation and/or law firmKnowledge of '34 Act requirements (particularly Section 16)Proficiency in Workiva, SharePoint and ExcelFamiliarity with EDGAR NextGeneral legal research skills and excellent organizational skills and attention to detailStrong communication skills and ability to coordinate complex tasks with multiple stakeholders; innovative and a self-starterBachelor's or associate’s degree or paralegal certificateFor positions based in New York , the base salary range is $72,000-$90,000 and the position is eligible for a bonus in accordance with the terms of the applicable incentive plan.
