A highly regarded New York City law firm is seeking an experienced Corporate Securities Attorney to join its sophisticated corporate practice. This opportunity offers the chance to work alongside accomplished practitioners advising public and private companies, entrepreneurs, investors, and boards of directors on complex securities, governance, and transactional matters.

Compensation & Benefits

Salary Range: $180,000 - $220,000, commensurate with experience.

Qualifications

• J.D. from an accredited law school.
• Admission to the New York Bar and good standing.
• Minimum of 5 years of corporate securities experience in a law firm, in-house legal department, or combination thereof. 
• Demonstrated experience with SEC reporting and public company compliance obligations.
• Strong knowledge of corporate governance and securities regulations.
• Excellent drafting, analytical, and client relationship skills. 
• Ability to independently manage matters while collaborating effectively with colleagues and clients. 

Responsibilities

• Advise public and private companies on Securities Act and Exchange Act compliance matters. 
• Draft and review SEC filings, including periodic reports, current reports, proxy statements, registration statements, and Section 16 filings
• Counsel clients on corporate governance matters, board and committee processes, disclosure controls, and compliance best practices.
• Support capital markets transactions, including public offerings, private placements, and related due diligence. 
• Assist with mergers, acquisitions, and strategic transactions involving securities law and disclosure considerations. 
• Coordinate with auditors, underwriters, transfer agents, and other transaction participants. 
• Monitor regulatory developments and provide practical, business-focused guidance to clients.
