Job Overview Responsible for providing legal assessments, interpretations, and recommendations on a variety of legal, regulatory, governance, transactional, and policy matters affecting UAMPS. Counsels and advises internal departments regarding legal rights, obligations, risks, and compliance requirements. Prepares, reviews, and negotiates legal documents, agreements, resolutions, governance materials, and other correspondence. Supports project development, public governance, records, transparency, financing, transmission, compliance, and risk-management initiatives. Represents the organization in judicial, regulatory, administrative, or other appropriate forums as needed. Maintains confidentiality of documents, legal matters, and case information. Coordinates with outside counsel to support organizational objectives. Responsibilities and Duties Assumes responsibility for providing legal assessments and advice. Provides legal assessments, interpretations, and recommendations on a variety of legal issues. Counsels internal clients on legal rights, obligations, risks, and compliance. Reviews facts, laws, regulations, policies, and organizational needs to develop practical legal guidance. Advises management and internal departments regarding legal considerations affecting organizational operations and decision-making. Assumes responsibility for providing general corporate legal support. Drafts, reviews, and negotiates vendor agreements, master service agreements, non-disclosure agreements, and other commercial contracts. Provides legal support to Human Resources on employment-related matters, including review of policies, agreements, disciplinary actions, and compliance with applicable employment laws and regulations. Prepares materials for governance approval, including resolutions, agreements, summaries, and supporting documentation for consideration by the Board of Directors, and Project Management Committees. Represent the organization in judicial, regulatory, or administrative proceedings as appropriate. Ensure legal documents, reports, correspondence, and related materials are accurate, factual, timely, and properly formatted. Assumes responsibility for providing legal support for project development. Assists with the negotiation, drafting, and review of contracts and agreements related to the development, construction, operation, and maintenance of electricity generation projects. Supports project development by identifying required approvals, permits, licenses, and authorizations and coordinating with internal departments and outside counsel to obtain them. Assists in preparing and reviewing materials required for governance approval of project-related agreements and development activities. Provides legal support related to land use, property interests, access rights, and related project development issues, as applicable. Assumes responsibility for supporting compliance with public governance, records, and transparency requirements. Assists the organization in complying with GRAMA, including classification of records, response obligations, and coordination of records requests. Provides legal guidance regarding governance requirements applicable to political subdivisions of the state of Utah, including compliance with enabling statutes, interlocal cooperation laws, and other applicable public-entity requirements. Coordinates with the Chief Legal Officer, internal departments, and outside counsel as necessary to ensure consistent and legally compliant governance practices. Maintains effective control and confidentiality of records, legal documents, and related materials. Assumes responsibility for providing legal support for financing transactions. Assists with legal support for bond financings, prepay transactions, and other financial arrangements in coordination with outside counsel and the Chief Legal Officer. Reviews bond, financing, and transaction documents prepared by outside counsel to ensure work product aligns with organizational objectives, governance documents, and applicable legal requirements. Supports the governance approval process for financing transactions by coordinating timelines, tracking required approvals, and ensuring compliance with applicable statutory, contractual, and governance requirements. Assumes responsibility for providing legal support related to transmission matters. Assists with legal support related to transmission services and facilities, including interpretation, administration, and enforcement of network service agreements. Assists in monitoring, reviewing, and evaluating FERC orders, rulemakings, filings, and other regulatory actions that may affect transmission arrangements or organizational operations. Coordinates with internal departments and outside counsel regarding transmission-related legal issues as appropriate. Assumes responsibility for establishing and maintaining effective communication and coordination with UAMPS personnel, management, outside counsel, and external contacts. Assists and supports related departments as required. Keeps the Chief Legal Officer and management informed of area activities and significant legal concerns. Attends and participates in meetings as required. Completes reports, records, correspondence, and other documentation as required. Communicates professionally, both orally and in writing. Projects a professional reputation by following established procedures, ethical standards, and applicable legal requirements. Assumes responsibility for related duties as required or assigned. Keeps current on legal, regulatory, and industry trends affecting the organization by reviewing relevant publications, participating in continuing legal education, and attending and presenting at industry conferences, conventions, and professional meetings as appropriate. Participates in continuing legal education and special legal projects. Ensures work areas are clean, secure, and well maintained. Completes special projects as assigned. Performance Measurements Legal assessments, interpretations, and recommendations are accurate, practical, timely, and appropriately communicated. Legal documents, agreements, resolutions, governance materials, correspondence, and related work product are prepared appropriately and in a timely manner. Internal departments are effectively supported on legal, regulatory, governance, employment, project development, financing, transmission, compliance, and risk-management matters. Public governance, records, transparency, and compliance matters are handled in accordance with applicable laws, policies, and procedures. Outside counsel is effectively coordinated, and legal work product aligns with organizational objectives and applicable legal requirements. Management and the Chief Legal Officer are appropriately informed of area activities, significant concerns, and relevant legal risks. Professional relations are established and maintained with UAMPS personnel, management, outside counsel, external contacts, and other stakeholders. Confidentiality of legal documents, records, case information, and organizational matters is maintained. Qualifications Education/Certifications Juris Doctor (JD) from an ABA-accredited law school Active license to practice law in good standing (or ability to become licensed as required) Meets applicable continuing legal education requirements Required Knowledge Legal research methodology and application Contract law and legal drafting Administrative, regulatory, or judicial procedures Knowledge of interlocal agencies and governance of political subdivisions preferred Required Experience Zero (0) to five (5) years of legal experience in a law firm, government, or corporate legal department, with increasing responsibility and complexity in legal work Required Skills/Abilities Strong written and oral communication skills Ability to analyze complex legal issues and provide practical guidance Time management and multitasking skills High ethical standards, integrity, and professional judgment Ability to work independently and collaborativelyProficiency with legal research tools and standard office software Additional Details This position follows UAMPS' hybrid work policy and requires a minimum of three days per week in the office (Monday-Wednesday).
