Technology Intellectual Property Transactions – Junior Associate Attorney

Direct Counsel is seeking a Junior Associate Attorney to join a leading national law firm’s Strategic Technology Transactions and Licensing group. The ideal candidate will have an interest in technology transactions, intellectual property, or related commercial work and will have the opportunity to gain meaningful experience across a broad range of technology and IP matters.

Locations: Los Angeles, CA; Santa Monica, CA; San Francisco, CA; Silicon Valley, CA

Qualifications

• 1–3 years of experience in technology transactions, intellectual property, commercial law, or a related practice area.

• Some experience with, or a demonstrated interest in, technology transactions, IP, or related commercial work.

• Strong drafting, analytical, and organizational skills.

• Keen attention to detail and ability to manage multiple matters in a fast-paced environment.

• Genuine curiosity about technology, including issues involving artificial intelligence and open-source software.

• Outstanding academic credentials and comparable law firm experience.

• Excellent written and verbal communication skills.

• Admission to the relevant state bar, or eligibility to obtain admission promptly.

• Deal sheet required.

Responsibilities

• Assist with IP licensing and other technology transactions.

• Support intellectual property and technology due diligence in M&A, venture financings, and other corporate transactions.

• Draft and negotiate technology and IP license agreements.

• Draft and negotiate customer agreements, including SaaS agreements.

• Assist with channel partner agreements, including OEM, VAR, and other reseller agreements.

• Draft and negotiate collaboration and other strategic alliance agreements.

• Work collaboratively with attorneys and clients on complex technology transactions.

• Develop substantive experience advising clients on emerging technology issues, including AI and open-source software.

Compensation & Benefits

The anticipated salary range is $225,000–$260,000 , depending on experience, skills, qualifications, and geographic market. The firm offers a comprehensive benefits package.
