Capital Markets and Public Company Associate

Job Overview A law firm seeks a mid to senior-level corporate associate in San Diego, CA. This role involves public company reporting, compliance, corporate governance, and capital markets. The associate will work with public companies and support the national capital markets and public company advisory practice. Duties Conduct thorough legal research and analysis. Draft legal documents, including memos and contracts. Assist in managing complex transactions from inception to resolution. Build and maintain strong client relationships. Collaborate with lawyers and business professionals. Ensure compliance with legal standards and regulations. Participate in professional development opportunities. Engage in firm programs and community involvement. Requirements Minimum 4 years of experience in public company and capital markets. Experience with public companies' periodic reporting. Strong knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934. Experience with Nasdaq and NYSE listing and governance requirements. Experience with issuers, underwriters, and financial intermediaries. AmLaw 100 law firm experience preferred. Education JD degree from an accredited law school. Certifications Admitted to practice in the state of California. Skills Excellent written and verbal communication abilities. Strong research, analytical, and problem-solving skills. Attention to detail and good business judgment. Ability to work collaboratively and independently. Persuasive communication and management skills.
