Corporate Associate Attorney – Junior & Midlevel

Direct Counsel is seeking junior and midlevel Corporate Associate Attorneys with 1–5 years of experience to join a sophisticated corporate practice.

Position Overview

The ideal candidates will have experience in corporate transactional matters , with exposure to M&A, venture capital and emerging companies, and general corporate counseling. Associates will work closely with partners and clients on sophisticated middle-market transactions and matters involving technology, startups, private equity, venture capital, and emerging companies.

Responsibilities

• Advise private companies, private equity sponsors, investors, and strategic buyers and sellers on middle-market M&A , including platform acquisitions, add-ons, sale processes, joint ventures, and other strategic transactions.
• Represent emerging companies and founders on entity formation, corporate governance, and day-to-day corporate matters throughout the company lifecycle.
• Advise emerging companies and venture capital funds on seed, Series A, and later-stage venture financings .
• Counsel private companies, boards of directors, and private equity portfolio companies on corporate governance and general corporate matters .
• Assist with transaction structuring, due diligence, negotiation, and closing .
• Draft and negotiate purchase agreements, financing documents, governance materials, disclosure schedules, ancillary agreements, and closing documents.
• Coordinate due diligence reviews and transaction workstreams.
• Work directly with management teams, sponsors, investors, and founders to manage deal timelines and deliverables.
• Collaborate with attorneys across related practice areas, including technology transactions, tax, employment, employee benefits, IP, privacy and security, environmental, and real estate.

Qualifications

• 1–5 years of corporate transactional experience at a law firm.
• Experience with M&A, venture financings, emerging companies, and/or general corporate matters preferred.
• Strong drafting, negotiation, analytical, and organizational skills.
• Ability to manage multiple matters and workstreams in a fast-paced, collaborative environment.
• Demonstrated interest in transactional practice and advising private companies, investors, and founders.
• J.D. from an accredited law school.
• Admission, or eligibility for admission, in the state where the position is based.

Compensation & Benefits

The annualized salary range is $215,000–$290,000 , with actual compensation determined based on factors including education, training, experience, and other job-related qualifications.
