We are looking for people with drive, ideas, and a passion for helping small businesses succeed to help craft the future of eBay.Strategic Impact of the Role: eBay’s dynamic global Technology, Marketing, & Commercial Contracts Legal team is seeking an enthusiastic Commercial Counsel to join our team in either Salt Lake City, UT or Austin, TX. This hybrid role requires in-office presence at least three days a week. You will immerse yourself in our business, lead contract negotiations, and provide crucial commercial insights that directly influence our strategic direction. This position involves providing legal counseling and collaborating directly with business units to ensure alignment with business goals and objectives. You will have a direct seat at the table, collaborating with cross-functional leadership on deals that shape our global e-commerce strategy.Key ResponsibilitiesReview, draft, and negotiate complex commercial agreements, including, software licenses/SaaS, marketing, main service agreements, Statements of Work, professional services, and data privacy agreement.Identify and mitigate legal and regulatory risks, including those related to data and privacy protection, security, and AI. Assess legal risks, offering practical guidance on risk management, policy compliance, and contractual obligations.Cultivate strong, collaborative relationships with strategic business partners (including, security, privacy, procurement, finance, and senior leadership), to align legal strategies with business goals for cohesive operations.Undertake special projects and tasks as needed, addressing unique legal challenges and supporting new business initiatives.Use AI tools to enhance legal service delivery and identify creative, responsible ways to improve efficiency, quality, and business support, in reviewing, drafting, and redlining agreements, while applying sound legal judgment to validate AI-generated work.Stay current on relevant laws, regulations, and industry trends impacting commercial contracts.Basic Qualifications:J.D. degree from an ABA accredited law school (or foreign equivalent) and in good standing with a US state bar.6+ years of negotiating and drafting expertise in sophisticated commercial transactions including software licenses/SaaS, main service agreements, Statements of Work, professional services, and data privacy agreements.Some travel required.Ideal Candidate Qualifications:Proficient and comfortable using AI tools with a critical eye, applying sound legal judgment to validate and refine all AI-generated work.Experience drafting and negotiating commercial transactions in an in-house setting.Ability to translate legal complexity into clear, actionable business guidance.Forward-thinking, with a strong interest in AI, automation, and legal operations transformation.Commercially minded, balancing risk with business objectives.Core Competencies:Comfortable with ambiguity in a fast-paced culture (if you thrive in a bit of chaos, we want you).Self-motivated and self-directed, capable of working with minimal direction (we promise not to hover).Value the importance of teamwork and work collaboration (you know that “reply all” is a power to be used wisely).Able to see the big picture (progress over perfection).Adept at balancing conflicts between legal and business risks (you know the legal version of "choose your own adventure").Comfortable engaging with a variety of teams, across all levels of the organization (because someone has to bridge the gap between "no" and "how").Strong work ethic with a sense of humor (because sometimes all you can do is laugh).Additional DetailsThe base pay range for this position is expected in the range below:$111,200 - $190,100Base pay offered may vary depending on multiple individualized factors, including location, skills, and experience. The total compensation package for this position may also include other elements, including a target bonus and restricted stock units (as applicable) in addition to a full range of medical, financial, and/or other benefits (including 401(k) eligibility and various paid time off benefits, such as PTO and parental leave).
