About the Role:

A growth-oriented law firm in Cumming, Georgia, is seeking a motivated and detail-oriented Associate Attorney with 3 5 years of experience in business, corporate, or transactional law. This is an excellent opportunity for an attorney who wants to take ownership of client matters, handle sophisticated corporate transactions, and build a long-term legal practice with guidance from experienced partners.

The successful candidate will manage day-to-day client relationships, draft and negotiate commercial agreements, support mergers and acquisitions, and advise businesses on corporate governance and transactional matters. Key Responsibilities:

• Manage an assigned portfolio of business and corporate legal matters under partner supervision.
• Serve as a primary point of contact for clients, providing responsive communication and practical, business-oriented legal advice.
• Form and advise business entities, including LLCs, corporations, partnerships, and joint ventures.
• Draft and revise corporate documents, including operating agreements, bylaws, shareholder agreements, resolutions, and governance records.
• Handle mergers and acquisitions, including purchase and sale agreements, legal due diligence, transaction structuring, and closing documentation.
• Draft, review, and negotiate commercial contracts, including vendor agreements, licensing agreements, distribution agreements, service agreements, and nondisclosure agreements.
• Review leases, financing documents, and loan agreements for business clients.
• Draft and revise employment agreements, independent contractor agreements, and restrictive covenant provisions.
• Advise clients on contractual risks, indemnification, liability allocation, corporate compliance, and regulatory requirements.
• Prepare legal memoranda, due diligence reports, deal summaries, and transaction analyses.
• Collaborate with partners, senior attorneys, paralegals, and legal support staff on complex matters.
• Monitor legal developments affecting corporate transactions, commercial contracts, and client industries.
• Maintain accurate matter files, billing records, budgets, and billable-hour entries.
• Participate in client development, networking, marketing, and relationship-building initiatives.
• Contribute to firm training, mentorship, and professional development programs.

Required Qualifications:

• Juris Doctor (J.D.) from an ABA-accredited law school.
• Active Georgia Bar license in good standing, or eligibility for prompt admission through an applicable process.
• 3 5 years of relevant experience in business law, corporate law, or transactional practice.
• Strong legal drafting, negotiation, research, and analytical skills.
• Experience managing client matters, deadlines, and competing priorities independently.
• Excellent written and verbal communication skills.
• Strong business judgment, attention to detail, and client-service orientation.
• Ability to work collaboratively while taking ownership of assigned matters.
• High standards of professionalism, integrity, and client confidentiality.
• Experience with mergers and acquisitions, corporate finance, or commercial real estate transactions is preferred.
• Familiarity with industries such as healthcare, real estate, technology, and professional services is beneficial.
• Experience managing direct client relationships in a law firm environment is an advantage.
