About this role: The Legal Head of Corporate & International Business is a senior bilingual (English/Spanish) attorney responsible for leading all legal matters arising from BMI Financial Group's U.S. based operations and offshore insurance entities. This role serves as the primary legal partner for BMI's Miami executive leadership team, and oversees a broad portfolio encompassing corporate governance, regulatory affairs, litigation strategy, complex claims, technology, medical network, and employment legal matters. The role supervises a team of associate attorneys, providing strategic direction, sets priorities, and serves as the decision-maker and escalation point. In matters requiring senior judgment due to complexity, confidentiality, urgency, or strategic significance, this role is expected to engage directly in drafting, negotiation, and execution, also coordinates the Company's external counsel network in the United States. Main Responsibilities: Regulatory Affairs — Florida OIR & Puerto Rico OCI Serve as primary institutional liaison with the Florida Office of Insurance Regulation (OIR) and the Florida Department of Financial Services on all regulatory matters affecting BMIC and the BMI holding company structure. Manage regulatory filings, Forms submissions, holding company act compliance, and license renewals across U.S. jurisdictions. Coordinate legal responses to regulatory examinations, market conduct reviews, and enforcement proceedings from the Florida OIR, Puerto Rico OCI, and other state departments of insurance. Monitor and analyze developments in Florida, Puerto Rico, and federal insurance law; advise leadership on operational impact and lead implementation. Oversee product filings, policy form approvals, and rate filings in coordination with the actuarial and product teams. Support the Company's compliance with Puerto Rico Chapter 61 requirements governing BMIIC. Corporate Governance & Secretarial Function Serve as Assistant Corporate Secretary or co-Secretary for U.S. and offshore entities, including preparation and maintenance of Board and committee minutes, resolutions, and corporate records. Oversee maintenance of corporate records, entity registrations, good-standing certificates, and officer/director documentation across all U.S.-based and offshore subsidiaries. Advise on corporate governance best practices, delegation of authority matrices, and reserved matters frameworks consistent with NAIC model act standards. Support intercompany agreement structuring, execution, and annual review cycles in coordination with Finance and Tax. Contracts & Transactional Legal Support Provide strategic oversight and final approval on a broad portfolio of legal agreements, including medical network and TPA agreements, agent and broker distribution agreements, technology and SaaS agreements, vendor and procurement contracts, intercompany agreements, financial services contracts, and NDAs — with drafting and first-level review executed by the associate attorneys. Set priorities, assign matters, and provide legal direction to the two in-house associate attorneys on contract negotiation strategy, key risk areas, non-negotiable positions, and escalation criteria. Review and approve high-complexity, high-value, or non-standard agreements requiring senior legal judgment before execution. Oversee implementation and governance of the Company's contract lifecycle management (CLM) system to ensure proper intake, tracking, execution, storage, and renewal oversight of all legal agreements. Develop and maintain standard contract templates, playbooks, and fallback positions for frequently negotiated agreement types, enabling the associate attorneys to execute efficiently within defined parameters. Serve as the escalation point for internal clients — Finance, IT, Operations, HR, and PMO — on complex contractual risk issues, indemnification structures, liability caps, and dispute resolution strategy. Litigation & Claims Management Manage the Company's litigation portfolio across U.S. jurisdictions, including selection, retention, and oversight of outside defense counsel. Develop and drive litigation strategy for contested insurance claims, bad faith actions, coverage disputes, agent-related claims, and commercial disputes. Oversee legal aspects of complex and contested claims, including coverage analysis and coordination with claims operations and external counsel. Maintain litigation reserves and provide regular reporting to the General Counsel and Finance on litigation exposure and case status. Negotiate settlements and manage alternative dispute resolution proceedings including mediation and arbitration. Supervise and provide legal direction to two in-house associate attorneys supporting litigation and contracts. Agent Fraud, Misconduct & Distribution Channel Risk Serve as the primary legal advisor on agent fraud and misconduct matters, providing guidance on investigation protocols, evidence preservation, and the legal framework governing agent disciplinary actions. Advise the commercial and distribution teams on the legal steps required to suspend, terminate, and pursue contractual remedies against agents involved in fraudulent activity, including fabrication of clients, unauthorized use of third-party financial instruments, misappropriation of premiums, and policy churning. Oversee the legal process for commission recovery, clawback actions, and civil claims against agents and general agencies where financial harm to the Company has occurred. Coordinate with the Compliance and Investigations teams on the reporting of agent fraud to applicable regulatory authorities (Florida OIR, Puerto Rico OCI, and other relevant state departments of insurance) and, where appropriate, to law enforcement. Review and strengthen agent agreement provisions related to fraud prevention, audit rights, indemnification, and termination for cause, in coordination with the distribution and commercial teams. Provide legal guidance on the Company's anti-fraud policies and controls applicable to the distribution channel, including early warning indicators, investigation triggers, and escalation protocols. Support post-investigation actions, including regulatory notifications, restitution arrangements, and any civil or criminal referrals arising from agent misconduct. Medical Network & Healthcare Legal Oversee the legal review and negotiation of medical network provider agreements, PPO arrangements, and TPA contracts — directing associate attorney workload and providing strategic guidance on key commercial and risk terms. Support medical fraud prevention strategies by providing legal direction on complex or escalated cases, coordinating with investigations teams, and advising on referrals to appropriate authorities. Advise senior leadership and the claims team on healthcare regulatory requirements applicable to the Company's health insurance products in Puerto Rico and international markets. Additionally, this role is responsible for providing legal leadership across technology, data privacy, employment, corporate structuring, legal operations, and strategic initiatives. The position serves as a key advisor on digital transformation projects, technology agreements, and data governance matters; oversees employment-related legal strategy and risk management for U.S. operations; leads corporate structuring, governance harmonization, and cross-border expansion efforts across U.S. and offshore jurisdictions; drives legal operations excellence through technology enablement, process optimization, performance metrics, and contract lifecycle management; manages relationships with external counsel and legal spend; and provides strategic leadership to the legal team, ensuring high-quality legal support, effective risk management, operational efficiency, and alignment with the Company's business objectives. Qualifications: Juris Doctor (J.D.) from an ABA-accredited law school. Fully bilingual in English and Spanish Minimum 10 years of legal experience, with significant experience in the insurance industry. At least 5 years of experience working in-house at an insurance company (life, health, or international insurance preferred), with direct exposure to insurance regulatory, claims, and distribution legal matters. Law firm experience in insurance law may complement but does not substitute for the required in-house industry experience. Demonstrated expertise across multiple practice areas: insurance regulatory, corporate governance, commercial contracts, reinsurance, litigation management, and claims. Experience working directly with state departments of insurance, including regulatory filings, examinations, and enforcement proceedings. Prior experience managing or supervising in-house legal staff or outside counsel teams. Experience with Puerto Rico insurance regulatory framework (Chapter 61, OCI) a strong plus. Familiarity with NAIC model acts, holding company regulation, and U.S. insurance solvency frameworks.
