As a private partnership, we believe our ownership structure fosters a long-term view that aligns our perspectives with those of our clients.The PositionWe are seeking a Corporate Governance Manager who will be responsible for ensuring the centralization and integrity of the company’s corporate governance framework. Reporting to the Head of Corporate Legal, the Corporate Governance Manager will join Wellington’s global legal team, working with business leaders and Legal & Compliance colleagues globally who support corporate governance across the regions.This role supports the Directors of the company’s global corporate boards as well as global executive leadership by managing board and committee operations, maintaining compliance with statutory and regulatory requirements, and facilitating effective communication between stakeholders. The Corporate Governance Manager serves as a trusted advisor on governance matters and plays a critical role in risk management and regulatory oversight.ResponsibilitiesThe key responsibilities of this position will include:Maintain and enhance Wellington’s corporate governance framework, including signatory and delegation structures.Oversee corporate affiliate Boards and Committees: manage agendas, papers, minutes, actions, and director onboarding.Ensure compliance with statutory and regulatory obligations, including maintenance of statutory registers and filings.Act as a key advisor to Boards and senior management on governance, regulatory developments, and best practice.Promote Board effectiveness through timely, accurate management information and governance reporting.Oversee third-party service providers, work in coordination with team members supporting governance globally and ensure governance standards across jurisdictions.QualificationsBachelor’s degree in law, Business Administration, Finance, or related field.Professional certification such as ICSA (Chartered Secretary) or equivalent strongly preferred.Minimum 5–7 years in a corporate governance or legal compliance role within financial services.Proven experience managing Boards and Committees in a regulated environment.Deep knowledge of corporate governance regulations.Strong collaboration, organizational, and stakeholder management skills.High attention to detail and ability to manage confidential information.Proficiency in Microsoft Office and board management software.Not sure you meet 100% of our qualifications? The base salary range for this position is:EUR 60,000-130,000This range takes into account the wide range of factors that are considered when making compensation decisions, including but not limited to skill sets; role; skills and experience; certifications; and education. Base salary is only one component of Wellington’s total compensation approach. Other rewards may include a discretionary Corporate Bonus and/ or Incentives, if eligible.
