Job Overview
A law firm seeks a Corporate Attorney with extensive private equity and private real estate investment fund formation experience to join their Corporate Practice Group in Philadelphia, PA or New York, NY. The ideal candidate will have significant experience in fund formation, private placements, and securities regulation.
Duties
- Assist clients in all aspects of fund formation and private placements.
- Advise on securities regulation, including the Securities Act of 1933 and the Investment Advisers Act of 1940.
- Represent venture capitalists, private equity firms, hedge fund managers, and family offices in various transactions.
- Manage investment fund structuring, including fund terms and conditions and investor negotiations.
- Oversee day-to-day fund operations.
Requirements
- Minimum of seven years of relevant experience.
- Excellent academic credentials.
- Admission to the respective state bar.
Education
- Juris Doctor (JD) degree required.
Certifications
- State bar admission.
Skills
- Strong understanding of fund formation and securities regulation.
- Proven ability to manage complex transactions.
- Excellent negotiation and communication skills.
