TRAKAmerica is a national outsourcing provider managing over $18 billion in assets for its clients. As we continue to expand our infrastructure, an immediate need for a Corporate Paralegal in our corporate office located in Bonita Springs, FL to fill a role critical to our continued growth. This role is classified as exempt under the FLSA and will not earn overtime for any hours worked more than 40 hours in each work week. This position is eligible for an annual performance-based bonus.

JOB DESCRIPTION:

We are seeking a highly organized, proactive and systems-oriented Paralegal to provide high-level support directly to the General Counsel’s office. This role is responsible for contract lifecycle management, deadline tracking, matter prioritization and outside counsel coordination.

The ideal candidate must excel at developing, implementing and maintaining efficient systems and processes that enhance the operations of the company, while effectively coordinating legal resources for matters involving all three lines of business. This position requires exceptional tact, professionalism and confidentiality when interacting with C-Suite executives and handling sensitive company information in a fast-paced corporate environment.

  ESSENTIAL FUNCTIONS & RESPONSIBILITIES:

Contract Management & Tracking:

• Maintain and manage the company’s central contract database/repository.
• Track contract lifecycles, including expirations, renewals, amendments and terminations.
• Monitor key dates, obligations and deliverables under active contracts.
• Generate regular reports on contract status, upcoming renewals and potential risks.
• Assist with contract drafting and routing for review and execution.

Deadline & Matter Management:

• Prioritize and triage incoming matters for the General Counsel, assessing urgency, business impact and risk level to ensure attention is focused on the highest-priority issues.
• Proactively track and manage all critical legal deadlines for the legal team.
• Maintain a comprehensive calendaring system and send timely reminders and escalations.
• Coordinate with internal departments and external parties to ensure timely responses and deliverables.
• Provide regular status updates on high-priority matters and potential bottlenecks.

Counsel Coverage:

• Manage outside counsel coverage for issues arising across all three lines of business.
• Coordinate engagement and retention processes, conflicts checks, and retention.
• Monitor outside counsel performance.
• Serve as point of contact for coordinating legal coverage.

Corporate Governance and Risk and Compliance Support:

• Assist with entity management, corporate records, board materials and regulatory filings.
• Assist in management of corporate insurance program
• Conduct legal research and prepare supporting memos as needed.
• Support due diligence and other strategic corporate initiatives.

• Proficiency in Microsoft Office Suite, contract lifecycle management (CLM) systems, and matter management tools.

Physical Demands : This position primarily involves sedentary work, with occasional walking, standing, reaching, bending and other routine physical activities. The employee must be able to use standard office equipment, including a computer, and communicate effectively in person, by telephone and through electronic means. The position may require occasional business travel, and the employee must be able to travel as needed to fulfill job responsibilities.

Work Environment: This position is primarily performed in a remote, professional office setting with regular interaction with company leadership, internal departments and outside legal counsel. The noise level is generally moderate. The role requires the ability to work independently, maintain confidentiality and effectively manage responsibilities in a fast-paced environment.

Education and Preferred Skills:

• Bachelor’s degree preferred.
• 3–5+ years of experience as a paralegal, preferably in-house with multi-state operations.
• Prior experience supporting a General Counsel’s office.
• Familiarity with insurance, risk management or regulated industries.
• Experience with legal spend management and outside counsel billing guidelines.
