Overview Ropes & Gray is seeking a transactional or funds Attorney to join our Alternative Asset Opportunities practice group. This role involves advising sovereign wealth funds and other 'mega' investors on complex transactions across asset classes and globally, including secondary transactions, joint ventures, co-investments, fund investments, and other strategic investment opportunities. Responsibilities Draft, review, and negotiate transaction documents related to complex transactions across asset classes, including private equity, credit, real estate, venture capital, and infrastructure. Advise on deal structuring, governance arrangements, and regulatory considerations across global transactions. Prepare and review transaction agreements, limited partnership agreements, subscription documents, side letters, and related documentation. Collaborate with colleagues across Ropes & Gray’s cross-disciplinary transactional, tax, finance, and regulatory teams to deliver integrated client solutions. Manage multiple concurrent transactions from term sheet through closing. Qualifications J.D. from an accredited law school and admission to practice in the relevant jurisdiction. Two to ten years of transactional or fund experience at a major law firm, with exposure to private equity or fund formation transactions. Demonstrated experience drafting and negotiating complex investment and/or fund-related agreements. Strong written and verbal communication skills with keen attention to detail. Ability to work both independently and collaboratively in a team environment. Interest in leveraging AI technology and other emerging legal tools to improve the quality and efficiency of proficient legal work.
