Vice President, Investment Banking

LifeSci Capital is seeking a Vice President to join its Investment Banking team. The Vice President will lead the execution of equity and M&A transactions for biotechnology and life sciences clients, ranging from private companies preparing to access the public markets through newly public and small- and mid-cap issuers.

This is a senior execution and client-facing role. The Vice President sits between the senior bankers and the analyst and associate bench, owning transaction workstreams end to end, serving as a day-to-day point of contact for client management teams, and contributing directly to new business development. Because the team is lean, the Vice President will carry a level of client ownership and deal responsibility that would typically sit a title above at a larger institution, with a clear path toward Managing Director.

Key Responsibilities

Transaction Execution

• Lead day-to-day execution of capital markets and M&A transactions, including IPOs, follow-on offerings, PIPEs, registered directs, ATM programs, convertible notes, and structured financings.
• Own the development and review of financial models, valuation analyses, and strategic analyses, including risk-adjusted NPV, probability-of-success weighting, comparable company and precedent transaction analysis, and dilution and capitalization scenarios for pre-revenue issuers.
• Manage transactions from pitch and marketing through diligence, negotiation, and closing, coordinating internal teams, outside counsel, auditors, and other advisors to keep processes on schedule.
• Lead business and financial due diligence, identify transaction and disclosure risks, and develop mitigation strategies in coordination with senior bankers and counsel.
• Conduct company, therapeutic area, and market research to support transaction execution, positioning, and new business development.

Marketing and Business Development

• Direct the development of client-facing materials, including pitch books, management presentations, confidential information memoranda, and offering marketing materials.
• Develop transaction narratives that translate clinical, regulatory, and commercial data into a differentiated equity story for institutional investors.
• Support new business generation through origination analyses, market monitoring, and preparation for and participation in pitches.
• Build and maintain relationships with clients, prospective clients, healthcare-dedicated institutional investors, and professional advisors across the sector, including through industry conferences and corporate access events.
• Collaborate with colleagues across the LifeSci Partners platform to identify opportunities and deliver integrated support to clients.

Client Management

• Serve as a day-to-day point of contact for client management teams, presenting analyses and recommendations clearly to CEOs, CFOs, and boards.
• Communicate transaction status, key issues, and client interactions to senior bankers and firm management.
• Exercise sound judgment and discretion when handling material non-public information and working with senior executives.

Team Leadership and Development

• Lead deal teams of analysts and associates: set direction and expectations, review work product, and provide timely, constructive feedback.
• Mentor and develop junior bankers, building both technical capability and sector fluency.
• Contribute to recruiting, training, and the ongoing development of team processes and standards.

Qualifications

Transaction Experience

• Five or more years of investment banking or closely related transaction experience; candidates with an advanced degree may be considered with fewer years of relevant experience.
• Demonstrated experience executing equity and equity-linked transactions, with live deal experience in a healthcare or life sciences coverage or capital markets group strongly preferred.
• Proven ability to manage transactions across the full lifecycle, including pitching, marketing, diligence, valuation, execution, and closing.
• Strong command of accounting, financial modeling, valuation methodologies, and transaction structures.

Sector and Scientific Fluency

• Meaningful transaction experience in biotechnology and pharmaceuticals, with a demonstrated commitment to the sector.
• Ability to read and interpret clinical trial data and to discuss development stage, mechanism of action, regulatory pathway, competitive landscape, and commercial opportunity credibly with management teams and investors.
• Familiarity with the healthcare-dedicated and crossover investor base and with how pre-commercial biotechnology companies are valued and financed.

Analytical and Communication Skills

• Exceptional quantitative and analytical capability, with the ability to translate complex financial and scientific information into clear, actionable conclusions.
• Exceptional written and verbal communication skills, including comfort presenting to senior executives and boards.
• Strong attention to detail and the ability to manage multiple live transactions and competing priorities.

Education and Licensing

• Bachelor’s degree from an accredited institution with a strong academic record. Coursework or concentration in finance, accounting, economics, mathematics, engineering, or the life sciences is preferred.
• An advanced degree (MBA, MS, PhD, MD, PharmD, or comparable) is a plus, particularly in a life sciences discipline.
• Series 79 and Series 63 licenses required; candidates who are not currently registered must obtain both within 120 days of hire.

Base salary plus discretionary annual bonus w/ OTE of $440,000- $475,000
