Associate General Counsel – Renewable Energy

Alexander Chapman is representing a growing renewable-energy investment and development business seeking an Associate General Counsel to support its solar and energy-storage activities.

This is a hands-on opportunity for an attorney with strong renewable-energy transaction experience who enjoys working directly with development, finance and construction teams. The successful candidate will take ownership of negotiations and help move projects from development and acquisition through financing, construction and ongoing operation.

The position is focused on New York City, with remote arrangements potentially available for the right candidate.

Key Responsibilities

• Draft, review and negotiate power purchase agreements, EPC agreements, O&M agreements, equipment supply agreements and other project-related contracts.
• Advise on site leases, easements, access rights and other real-estate arrangements supporting project development.
• Support project acquisitions, dispositions, joint ventures and related due diligence.
• Lead or support negotiations involving project debt, sponsor equity, tax equity and tax-credit transfer transactions.
• Identify contractual and transaction risks and develop practical solutions that support commercial objectives.
• Partner closely with development, finance, engineering, construction and asset-management teams throughout the project lifecycle.
• Manage external counsel and coordinate specialist advice efficiently.
• Develop and improve contract templates, negotiation guidelines, playbooks and internal legal processes.
• Support corporate governance, project-company structuring and general commercial matters.
• Advise on emerging legal, regulatory and policy developments affecting distributed-generation solar and energy storage.

Qualifications

• JD from an accredited law school and active admission to a US state bar in good standing.
• Approximately 4–15 years of relevant legal experience, including substantial hands-on work involving solar-energy transactions.
• Distributed-generation, commercial and industrial, or community-solar experience is strongly preferred.
• Demonstrated experience independently drafting and negotiating key project agreements, including PPAs, EPC agreements and related development or construction contracts.
• Experience with renewable-energy project financing, including tax equity, sponsor equity or project debt.
• Familiarity with tax-credit transfer transactions is highly desirable.
• Strong understanding of how development, real estate, construction, offtake and financing documents interact.
• Ability to manage multiple transactions, exercise sound judgment and deliver clear, commercially focused advice.
• Comfortable operating independently while collaborating closely with business stakeholders.
• In-house experience at a renewable-energy developer, owner/operator or investment platform is preferred. Relevant law-firm experience will also be considered.

Location and Working Arrangement

New York City preferred. Remote arrangements may be considered depending on experience and business requirements. Some travel and in-person meetings may be required.

Compensation

Up to $265,000 base salary, plus bonus and equity, depending on experience and qualifications.
