As we scale, we are building a lean, high-impact legal function to match the pace and ambition of the business, and this role will be foundational to that effort.Who You AreYou have 5-7 years of experience, preferably in-house, and are commercially minded, low-ego, and energized by startup speed: high volume, fast-moving priorities, and plenty of ambiguity. This role reports directly to the General Counsel and serves as the second attorney on the team. You will work closely with sales, revenue, and cross-functional leaders to structure deals, manage risk, and keep transactions moving. You will have real visibility into business strategy from day one, with room to grow your scope over time. The work is hard, but it is rewarding, and as the company scales, there is substantial room to grow with it.What You'll DoWe are looking for a contracts attorney to handle matters end to end and serve as a backstop to our compliance program, including GxP and privacy. This is not a role for someone who works through a to-do list. We need someone who makes the call, brings a recommendation, and escalates only what is genuinely novel or high-stakes. The role comes with significant autonomy and real visibility into the business.Key Responsibilities• Draft, review, and negotiate a high volume of commercial agreements, including MSAs, SaaS/licensing agreements, BAAs, DPAs, NDAs, and vendor contracts• Own and optimize the contracting workflow within the company's CLM system, driving efficiency and consistency across the deal cycle• Partner directly with sales, revenue operations, and cross-functional leaders to advise on contract terms, risk allocation, and deal structure• Identify legal risks in commercial transactions and escalate appropriately, exercising sound judgment on when to push back and when to move forward• Develop and maintain contract templates, playbooks, and internal guidance documents to support scalable contracting processes• Over time, expand your portfolio into adjacent areas such as employment law, data privacy, and intellectual property as the legal function growsRequired Qualifications• J.D. from an accredited law school and active bar membership in at least one U.S. jurisdiction• 5-7 years of experience in commercial contracting, with a strong foundation in technology transactions (SaaS, software licensing, cloud services, or similar)• Demonstrated ability to independently draft and negotiate complex commercial agreements• Experience working with or managing a CLM platform• Strong business judgment with the ability to balance thorough legal review against the pace and priorities of a growing company• Comfortable operating in a lean legal team where you handle both strategy and execution• Excellent communication skills with the ability to translate legal concepts for non-legal stakeholders• Team-oriented mindset with a willingness to pitch in across the business wherever neededPreferred Qualifications• Experience supporting a SaaS or technology company• Familiarity with HIPAA, GDPR, and data privacy frameworks applicable to healthcare data• Exposure to emerging AI regulations and data governance considerations• Prior experience at a startup or high-growth company• Background that includes both law firm and in-house experienceWhat We Offer• The chance to build and shape the legal function at a mission-driven healthcare AI company• Direct partnership with business leaders and visibility into company strategy• A collaborative, human-centered culture that values caring and intentional work• Room to grow your role and expand into new legal areas as Authenticx scales• Competitive compensation and benefits, and the energy of a startup making a real difference in healthcare
