This opportunity is ideal for an attorney interested in representing public and private companies, private equity sponsors, investors, and financial institutions in sophisticated corporate transactions. Ideal Background 3–6 years of corporate transactional or mergers & acquisitions experience gained at a sophisticated law firm Experience representing public companies, privately held companies, private equity sponsors, portfolio companies, strategic buyers and sellers, and institutional investors Experience handling mergers & acquisitions, equity investments, joint ventures, corporate reorganizations, and other strategic transactions Experience drafting and negotiating purchase agreements, merger agreements, operating agreements, shareholder agreements, governance documents, and other corporate transaction documents Experience conducting legal due diligence, managing transaction workstreams, and coordinating deal teams through closing Experience advising clients regarding corporate governance, commercial agreements, and general corporate matters Experience with private equity transactions, capital markets, or finance matters is a plus Strong drafting, negotiation, analytical, organizational, and communication skills Ability to independently manage sophisticated transactions while maintaining significant client interaction Excellent academic credentials J.D. from an ABA-accredited law school required Texas bar admission required or ability to become admitted Why This Opportunity Premier national Corporate practice Sophisticated domestic and cross-border transactions Significant client interaction and deal responsibility Opportunity to represent leading public companies, private equity sponsors, and growing businesses Strong mentorship and professional development Collaborative AmLaw 50 environment #J-18808-Ljbffr
