Securities & Capital Markets Associate AttorneyDirect Counsel is seeking a Corporate Associate Attorney – Securities & Capital Markets to join the corporate practice of a prestigious Am Law 100 law firm in Boston. This is an excellent opportunity for an attorney with public company and capital markets experience to work on sophisticated securities transactions while advising public and private companies on ongoing securities law compliance and corporate governance matters.The ideal candidate will have 2+ years of securities and capital markets experience representing issuers and underwriters in capital markets transactions and advising public companies on Securities Exchange Act reporting and governance matters.ResponsibilitiesRepresent issuers and underwriters/placement agents in public and private capital markets transactions.Advise public companies on ongoing compliance with the Securities Exchange Act of 1934, including periodic reporting and disclosure obligations.Counsel clients on corporate governance, securities law compliance, and related regulatory matters.Draft and review registration statements, offering documents, SEC filings, board materials, and other corporate documentation.Collaborate with attorneys across the corporate practice on complex financing transactions and strategic business matters.Build strong client relationships while delivering practical, business-oriented legal advice.Contribute to a collaborative, partnership-track practice focused on professional development and exceptional client service.QualificationsJ.D. or LL.M. from an ABA-accredited law school.2+ years of capital markets experience at a law firm.Experience representing issuers and underwriters or placement agents in Securities Act of 1933 transactions.Experience advising public companies on Securities Exchange Act of 1934 reporting, compliance, and corporate governance matters.Admission to the Massachusetts Bar, or eligibility for admission, is required.Excellent drafting, analytical, communication, and organizational skills.Ability to manage competing priorities while maintaining exceptional attention to detail.Strong commitment to collaboration and client service.Compensation & BenefitsSalary Range: $260,000 – $365,000, plus bonus eligibility.Comprehensive benefits package including medical, dental, vision, retirement savings, paid time off, professional development opportunities, and additional employee wellness benefits.This is an outstanding opportunity for a corporate attorney seeking sophisticated securities and capital markets work within a collaborative, partnership-track practice representing innovative public and private companies.
