Mid-Level Corporate Associate – Capital Markets

Direct Counsel is representing a leading AmLaw 100 firm seeking a Mid-Level Corporate Associate with 3–5 years of experience to join its growing Capital Markets practice in Boston. The role offers the opportunity to work with public company clients on sophisticated U.S. and cross-border securities transactions.

Key Responsibilities

• Handle IPOs, high-yield and investment-grade debt offerings , and other securities transactions.
• Draft and negotiate underwriting agreements, purchase agreements, indentures, prospectuses, and offering memoranda.
• Advise public companies on SEC reporting and disclosure requirements , including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 compliance.
• Conduct due diligence and coordinate deal teams, auditors, and outside parties.
• Advise on corporate governance, board matters, director independence, and NYSE/Nasdaq requirements.
• Support SPAC and de-SPAC transactions , including PIPEs and proxy/registration statements.

Qualifications

• 3–5 years of capital markets experience with public company and securities transactions.
• Experience working with the SEC and ’34 Act reporting requirements .
• Issuer and underwriter experience preferred.
• SPAC/de-SPAC and foreign private issuer experience is a plus.
• Excellent academic credentials, drafting, judgment, and project management skills.
• Ability to work effectively in fast-paced, lean deal teams with significant client contact.
• Must be admitted or eligible for admission to the Massachusetts Bar.

Compensation

$260,000–$365,000 , depending on experience, plus discretionary bonus and comprehensive benefits.
