Private Equity & Investment Funds Attorney

Role Overview
Apply deep private equity, investment funds, M&A, and commercial law experience to help improve advanced AI systems through practical analysis of complex transaction documents. This remote contract role focuses on producing accurate, structured legal insight. Prior AI experience is not required.
Key Responsibilities
- Review and annotate transactional agreements, including MSAs, SPAs/APAs, DPAs, LPAs, side letters, and NDAs.
- Analyze and provide structured feedback on credit agreements, banking documents, SaaS and cloud service agreements, leases, employment agreements, and IP and technology licenses.
- Contribute expertise across investment funds, asset management, private equity, M&A, and corporate and commercial law, with emphasis on contract drafting and negotiation.
- Clarify legal language and contractual terms for AI learning materials.
- Draft sample clauses and identify key contractual risks to support high-quality training data.
- Provide relevant context on data privacy, cybersecurity, and technology transaction trends.
- Collaborate with legal professionals to benchmark agreement standards and surface best practices.
Qualifications
- JD from an accredited law school strongly preferred. An LLM may be considered with exceptional relevant experience.
- At least 8 years of legal experience in private equity, investment funds, M&A, or asset management, including significant responsibility for complex agreements.
- Demonstrated experience with MSAs, SPAs/APAs, LPAs, DPAs, side letters, and NDAs.
- Strong knowledge of contract-intensive work in investment funds, banking and finance, technology and SaaS, and data privacy.
- Excellent written and verbal communication skills, with precise legal drafting and analysis.
- Ability to synthesize complex legal concepts for varied audiences, with exceptional attention to detail.
- Familiarity with emerging technology contract, data privacy, and cloud service trends is a plus.
Work Terms

Compensation
